Wiktor Zień focuses his practice on regulations governing financial institutions, corporate law, mergers and acquisitions, and banking law. He specializes in finance transactions, including acquisition finance, corporate finance, project finance as well as complex refinancing and restructuring projects. He has participated in significant mergers and acquisitions, including those involving public companies, and in proceedings before the Polish Financial Supervision Authority as well as in finance transactions for local and international banks and financial institutions, local and international companies, and private equity funds.

  • Advised Elemental Group on the up to EUR 300 million term and revolving facilities provided by a consortium of Banks and Finance Institutions and aimed at refinancing the current indebtedness and financing the general corporate and working capital purposes of Elemental Group.
  • Advised CCC Group on the up to PLN 3.235 billion term and revolving facilities provided by a consortium of Banks and Finance Institutions and aimed at refinancing the current indebtedness and financing the general corporate and working capital purposes of CCC Group.
  • Advised CCC Group on refinancing of bonds issued by CCC Shoes & Bags and acquired by Polish Development Fund Closed Investment Fund.
  • Advised Tele-Fonika Kable on numerous financings, including syndicated bank loans, loans guaranteed by export credit agencies and other financial transactions.
  • Advised Lisala on margin loan financing.
  • Advised CCC Group on numerous financings, including syndicated bank loans, bonds and convertible bonds.
  • Advised Polsat Plus Group in connection with financing the construction of a wind farm in Człuchów. The financing amounted to PLN 800 million (EUR 183.46 million).
  • Advised a consortium of international banks in connection with handling the existing financing of a company operating in Eastern Europe.˚
  • Advised a consortium of international investors in connection with the EUR 205 million refinancing of a 158 MW wind farm located in Serbia.˚
  • Advised a Polish bank in connection with financing for the construction of an onshore wind farm in Poland with a total capacity of 42.6 MW.˚
  • Advised a consortium of Polish banks and an international financial institution in connection with the PLN 763 million financing for the construction of the largest standalone photovoltaic farm in Poland with a total capacity of 286 MW.˚
  • Advised an American investment fund in connection with financing acquisitions of companies in Europe and the United States and on financing of the companies' ongoing operations.˚
  • Advised a Polish chemical manufacturing company in connection with financing the group's ongoing operations.˚
  • Advised an international asset management fund in connection with financing projects relating to the construction of photovoltaic farms.˚
  • Advised a Polish group of financial and advisory institutions on investment and development programs and on refinancing of the indebtedness of the group's companies.˚
  • Advised a leading Polish furniture company on financing the company's ongoing operations and projects.˚

  • Advised CVC Capital Partners in connection with its launch of a tender offer for all shares in Comarch S.A.
  • Advised an international bank on the sale of shares in one of Poland's leading banks, including representation in proceedings before the Polish Financial Supervision Authority, for the total amount of EUR 2.4 billion.˚
  • Advised an American machinery and energy conglomerate on the sale of shares in operating companies in Poland for the total amount of USD 2.6 billion.˚

  • Advised Diagnostyka S.A., a leading provider of diagnostic services, in the initial public offering (IPO) of the Company’s shares and the admission of some shares to trading on the regulated market operated by the Warsaw Stock Exchange. The value of the shares sold in the IPO was nearly PLN 1.7 billion, making it one of the largest IPOs in Poland in recent years.
