AUSTIN, Texas – Sept. 11, 2026 – A multioffice team from global law firm Greenberg Traurig, LLP represented Swarmer, Inc (NASDAQ: SWMR) in its definitive agreement to acquire Ratel Robotics, a leading manufacturer of unmanned ground vehicles (UGVs) in Ukraine.
The consideration for the acquisition includes a mix of cash and stock worth up to $224 million if all earnout milestones are met, according to Swarmer’s press release. The transaction will combine a battle-tested UGV platform with combat-proven autonomy software to create more versatile, interoperable autonomous solutions.
Ratel Robotics’ portfolio includes several modular UGVs currently used for battlefield logistics, casualty evacuations, reconnaissance, drone launching, and demining. The company is also developing two unmanned aerial vehicle variants, mobile workshops, and solar-powered trailers.
The closing of the acquisition remains subject to customary conditions and any required legal, regulatory, and shareholder approvals.
