August Bonacci represents sponsor and fund borrowers, institutional lenders and alternative capital providers in complex financings. He advises on a range of fund finance and back leverage matters, as well as leveraged finance matters.

August has played a key role in designing and executing some of the largest transactions in the private credit secondaries market, and his practice focuses on bespoke financings across private fund and corporate capital structures.

    • Abry Partners on a $1.6 billion continuation fund transaction involving a credit portfolio of BSLs, middle market loans and public and private equity positions.°

    • Partners Group portfolio company Eyecare Partners, LLC, a leading national provider of clinically integrated eye care, in a liability management transaction that significantly enhanced the company’s liquidity, deleveraged its balance sheet, reduced annual debt interest expense, and extended debt maturities. The transaction included a $275 million new-money investment into a super senior debt tranche and an uptier exchange that captured significant debt discount.°
    • Warburg portfolio company Consolidated Precision Products, a manufacturer of highly complex components for the commercial aerospace market, in connection with a complicated amend and extend transaction involving more than $1.3 billion in funded debt.°
    • CURO Group Holdings Corp. (NYSE: CURO), in a liability management transaction that effectuated an uptier exchange of 68.2% or $682.3 million of its 7.5% second-lien notes into new 7.5% 1.5-lien notes and a contemporaneous $150 million new money first-lien term loan financing provided by noteholders that participated in the exchange.°
    • Red Robin Gourmet Burgers, Inc. (NASDAQ: RRGB) in connection with amendments to its credit agreement with Fortress Credit Corp.°
    • Various private equity sponsors and portfolio companies in connection with non-public liability management exercises in opportunistic and distressed situations.°
  • Pro bono representation of Afghan national in asylum and adjustment of status matters.°
