Theresa Clark focuses her practice on real estate transactions, including real estate finance and acquisitions and dispositions. Theresa’s real estate finance experience includes representing institutional lenders, alternative lenders, debt funds and construction lenders in the origination and syndication of mortgage and mezzanine financing secured by multifamily, office, hotel, retail shopping centers and malls and industrial properties, with an emphasis on complex debt and portfolio financings. Theresa’s transactional experience includes representing investment funds and REITs in project and portfolio acquisitions and dispositions, encompassing multiple facets of real estate work, including the negotiation of portfolio purchase agreements, multi-property borrower representation, resolution of property owners’ association and reciprocal agreement issues, and the negotiation of office leases.

In addition to her previous private practice experience with an international law firm, Theresa’s experience includes public sector experience as an attorney with the U.S. Department of Housing and Urban Development (HUD), where she advised with respect to FHA-insured commercial mortgages and other affordable housing finance programs.

  • Represented lenders in the co-origination and conduit note securitizations of a $1 billion mortgage loan and subordinate note syndication secured by fee and leasehold interests in a retail shopping center.°
  • Represented lenders in the joint origination, securitization and syndication of mortgage and mezzanine loans totaling $900 million secured by a multi-state multifamily portfolio.°
  • Represented co-lenders  and lead arrangers in the joint origination and placement of a securitized mortgage loan of $300 million and simultaneous origination and syndication of a mezzanine loan, collectively secured in part by multiple borrowers’ -fee and leasehold interests in a shopping mall.°
  • Represented private equity fund, as borrowers and subsidiaries guarantors, in the origination of, and initial draws from, a revolving credit facility with maximum principal balance of up to $400 million.
  • Represented private equity fund in $700 million acquisition of a multi-state multifamily portfolio.°
  • Represented private equity fund in $500 million acquisition of an industrial portfolio.°
  • Represented private equity fund in $500 million acquisition of an industrial portfolio.°
  • Represented private equity fund in $850 million disposition of a portfolio of assets.°
  • Represented global real estate developer in $250 million disposition of an office tower.°
