Khoa D. Do advises publicly traded and privately held technology companies and private equity firms on mergers and acquisitions (M&A) transactions ranging from midmarket deals to multibillion-dollar acquisitions. With three decades of experience, he has executed hundreds of M&A transactions with an aggregate deal value in the billions, representing clients across the AI, fintech, robotics, autonomous mobility, software, semiconductor, cybersecurity, life sciences, and sports and entertainment industries. Khoa’s practice encompasses strategic mergers, asset and stock acquisitions, complex cross-border transactions, direct investments, tender offers, divestitures, and spinoffs.

Khoa regularly counsels both strategic acquirers and private equity buyers on transactions that span multiple jurisdictions, including Europe, Asia, and the Middle East. His cross-border M&A work has involved targets and counterparties in Germany, France, Finland, Spain, Japan, Korea, Taiwan, Vietnam, and the United Arab Emirates. This geographic breadth, paired with deep experience in the technology sector, allows him to guide clients through the regulatory, structural, cultural, and commercial complexities that arise in international dealmaking.

In addition to his traditional M&A practice, Khoa has advised underwriters of M&A representations and warranties insurance policies, having counseled major insurers on policy underwritings in more than 100 buy-side acquisitions by strategic and private equity buyers. This dual perspective, representing both deal parties and the insurers behind transaction risk products, gives him valuable insight into deal risk allocation and negotiation dynamics.

Khoa is also active in the community and in legal education. He has served on the boards of directors for nonprofit and youth organizations, and he has been a guest lecturer on corporate law and M&A topics at Northwestern University School of Law and Stanford Law School. He earned his J.D. from Northwestern University School of Law and his B.A. in Finance and Economics from the University of Illinois at Urbana-Champaign.
