Holly Goldsmith focuses her practice on matters related to executive compensation and benefits in connection with mergers and acquisitions, reorganizations, joint ventures, and other strategic transactions. Holly regularly advises clients on the negotiation of executive employment, separation, retention, and change in control agreements, as well as the design and implementation of management equity and cash-based incentive programs. Holly also advises public companies on executive compensation-related disclosures in annual proxy materials, including the CD&A, pay versus performance, and shareholder proposals related to say-on-pay and equity plans.
