Gabriel Lozano es socio de la oficina de GT en la Ciudad de México, y como líder del grupo de práctica de Nearshoring se ha reubicado de forma permanente en Monterrey. Enfoca su práctica corporativa en fusiones y adquisiciones, inversiones de capital privado y capital de riesgo, y financiamiento privado. Como abogado con doble licencia para ejercer en México y EE.UU. (es admitido en el Colegio de Abogados del Estado de Nueva York), Gabriel se ha desempeñado como abogado transaccional asesorando a clientes en relación con transacciones nacionales y transfronterizas.

Su experiencia internacional incluye asesorar a clientes en su soft landing en México y América Latina, incluyendo aspectos legales en relación con la reubicación de operaciones comerciales a México.

  • Advised IGNIA Partners and Dalus Capital as lead co-investors, as well as other investors, in a Series A equity round of US$6.5 million in the company UnDosTres, a Mexican fintech company with an online digital payment platform. The proceeds of this investment round will be used to fund the platform’s growth, and to continue development of new payment services.
  • Representation of an institutional investor in establishing a joint venture agreement with a developer of industrial real estate projects in Mexico in order to fund the development of new projects for a term of at least three years. The scope of engagement included advising on the deal structure, drafting and negotiating deal documents, overseeing the incorporation of SPVs in Mexico, and documenting and formalizing the projects to be developed under this joint venture.
  • Representation of a syndicate of banks on a project financing deal in connection with a toll road in Mexico. Financing was granted for up to MXN$964,645,000 to cover the construction of the project as well as VAT payments during the construction phase. Our engagement included drafting and negotiating the deal documents, reviewing of the bid documents, conducting due diligence on the SPV incorporated in order to carry out this project, as well as on its shareholders which were awarded this project by the governmental authorities in Mexico.
  • Representation of an institutional investor involved in real estate development, in obtaining a credit facility of up to MXN$364 million from one of the top banks in Mexico in order to fund its development projects. Engagement included advising the client on the optimal deal structure, as well as negotiating and drafting deal documents.
  • Representation of a bank extending a line of credit for the acquisition of a seller financing facility in connection with an underlying real estate loan portfolio in Mexico, and advise in the syndication of such financing. The scope of engagement included reviewing and reporting the mechanics of the seller financing facilities being acquired, giving an overview of the status of its collateral, and giving legal advice in connection with the anti-trust implications in Mexico of acquiring such financing facilities. Greenberg Traurig also facilitated the closing of the financing and the syndication of the loan facility extended by its client, particularly in connection with exchange of promissory notes in Mexico.
  • Advised venture capital and private equity funds throughout the investment and exit phases involved in a range of industries and commercial transactions in Mexico.°
  • Advised in the investment of a Mexican banking institution in a micro-financing firm offering online loans.°
  • Advised a private equity firm in the purchase of distressed loan portfolio in Mexico.°
  • Participated in the issuance of corporate debt securities in the form of certificados bursátiles
  • Advised a Mexican banking institution in investigation procedures before the Mexican securities regulator (Comisión Nacional Bancaria y de Valores).°
  • Advised an international institutional investor in managing their investment in a publicly traded airport group in Mexico.°
  • Participated in drafting and negotiating an EPC contract for a 142 MW cogeneration plant in Mexico.°
  • Participated in drafting and negotiating power purchase agreements.°
  • Participated in various projects enabling family companies to implement mechanisms to ensure a successful generational transition.°
  • Participated in litigation in the United States representing Mexican parties pursuing legal action against counterparts from the United States.°
  • Participated in a cross-border contract dispute involving a Mexican public company against a major financial institution in the United States, winning a federal preliminary injunction blocking the transfer of a loan to a competitor.°
