Brad is a corporate and securities attorney who represents clients in all aspects of corporate and commercial law, with a particular focus on securities law compliance, public and private equity finance and corporate governance.

Brad represents public companies and their various corporate governance and securities needs, with experience providing tailored advice to smaller reporting companies and emerging growth companies. In this capacity, he also serves as a liaison for clients to other practice areas within the firm, including executive compensation, tax, labor and employment, intellectual property and litigation. During his career, he has developed significant experience in the banking and biotechnology sectors. Brad also has experience in both public and private mergers and acquisitions, each year leading several transactions involving complex commercial, securities and corporate legal issues.

  • Represented publicly traded companies in regular ’34 Act filings and compliance, including annual, quarterly, and current reports on Forms 10-K, 10-Q, and 8-K.°
  • Represented issuers and underwriters in initial public offerings and follow-on offerings.°
  • Represented publicly traded companies in mergers and acquisitions and related filings and registration statements.°
  • Preparation of Proxy Statements, including defense of proxy contests.
  • Representation before regulatory authorities, including the SEC, NASDAQ, NYSE and FINRA.°
  • Represented domestic and foreign institutional shareholders in Section 16 compliance, including Form 3, 4, and 5 filings.°
  • Represented issuers in private securities offerings under Regulation D and nonprofit exemptions.°
  • Represented private equity and venture capital funds in fund formation, capital raising, and acquisition and disposition of portfolio companies.°
  • Counseled private equity and venture capital fund managers with regard to securities compliance and registration requirements under the Dodd-Frank Act, Investment Advisors Act, and related SEC Rules.°
  • Advised a variety of for-profit and nonprofit entities, including corporations, limited liability companies, nonprofit corporations, and limited partnerships, in entity choice, formation, dissolution, and governance.°
  • Advised public and private boards of directors regarding governance questions.°
