Greenberg Traurig Advises ZE PAK on the Acquisition of a Wind Farm Project and Financing of another Wind Farm Development

WARSAW – 12 October 2022 – Greenberg Traurig advised PAK-Polska Czysta Energia, part of ZE PAK Group and one of the leaders in energy transition in Poland, in connection with the acquisition of another special purpose company owned by the Neoinvestment Group and responsible for the construction of a wind farm situated in Potęgowo, Słupsk and Damnica in the Pomerania Province, consisting of 23 Vestas wind turbines with a total capacity of approx. 50.6 MW. 

The transaction was co-led by Associate Marcin Gralewski, responsible for the real estate aspects of the transaction, and Associate Michał Kuratowski responsible for the corporate aspects of the transaction and supervising the due diligence process. The transaction team also included Junior Associates Szymon Grudzień and Justyna Kozik.

The due diligence was performed by an interdisciplinary team comprising Local Partner Barbara Pancer, Associate Marta Popławska and Junior Associates Wiktoria Grotkowska-Szostak and Przemysław Nycz.

Moreover, Greenberg Trauig advised on the facility agreement related to the financing of the construction of the first wind farm project acquired by PAK-Polska Czysta Energia, to be developed by the special purpose company Farma Wiatrowa Kazimierz Biskupi, up to the amount of PLN 135 million term facility and PLN 30 million of VAT facility.

The team advising on the financing of the Kazimierz Biskupi wind farm project included Associate Krzysztof Wiśniewski and Junior Associates Szymon Grudzień and Bartosz Skalski.

Both transactions were supervised by Local Partner Paulina Kimla-Kaczorowska.

“These are another two transactions related to wind farm projects that we have completed for the Client this year, following the March acquisition of a project company, which will develop a wind farm project consisting of 14 wind turbines situated in the Przyrów commune and the June acquisition of a project company, which will develop a wind farm project consisting of 33 wind turbines situated in the Człuchów commune. The transactions completed as part of Polsat Plus Group/ZE PAK’s green strategy are in line with current market trends related to Poland’s dynamic energy transition and investments in renewable energy sources.
