Fernando focuses his practice on commercial and general corporate matters, mergers and acquisitions, financing transactions, regulatory compliance and anti-money laundering matters. He advises Mexican and international clients on the establishment, expansion and ongoing operation of their businesses in Mexico, as well as on cross-border transactions involving Mexican entities and assets.
His experience includes advising on corporate governance, ownership and management structures, corporate reorganizations, changes of control, powers of attorney, corporate approvals and the maintenance of corporate books and records. Fernando also regularly drafts, reviews and negotiates commercial agreements, including distribution, supply, purchase and sale, services, confidentiality and other agreements supporting clients’ day-to-day business operations and commercial relationships.
Fernando assists clients in identifying and managing legal and regulatory risks arising from their operating models, including commercial practices, data privacy, anti-money laundering, anti-corruption, financing-related matters and other compliance requirements. He also advises on the structuring and governance of distribution and commercial networks, working with multidisciplinary teams to develop practical corporate, commercial, financial, regulatory and contractual strategies aligned with clients’ day-to-day operations and long-term business objectives.
