Hannah J. Barlow

Hannah J. Barlow represents buy-side and sell-side clients in complex domestic and cross-border transactions, across a variety of industries, on employee benefits and executive compensation matters. She supports corporate deal teams throughout the transaction lifecycle, from due diligence and risk assessment through closing and post-acquisition integration. Her practice spans the entire range of executive compensation and employee benefits matters, including with respect to retirement plans, health and welfare plans, equity and equity-based compensation, deferred compensation, change in control agreements, severance arrangements, and employment agreements. Hannah typically manages multiple active transactions simultaneously, working directly alongside deal teams on drafting, design, implementation, negotiation, and client counselling.

Additionally, Hannah counsels senior management and human resources teams on a broad range of compliance issues under ERISA, the Internal Revenue Code (including Sections 280G, 401, and 409A), the Affordable Care Act, COBRA, and related regulatory frameworks.
