Yejee Marilyn Kim is an of counsel in the firm’s Corporate Practice. Marilyn focuses on corporate transactional work, including public and private securities offerings, periodic reporting for public companies, and mergers and acquisitions. Marilyn has experience in advising clients in domestic and cross-border transactions in a number of industries, including consumer products, energy, manufacturing, real estate development, and health care. In a recent in-house role at a life sciences company, Marilyn provided legal advice on SEC and NYSE compliance matters and corporate governance matters.

  • Represented a top-10 U.S. homebuilder in public and private offerings of equity and debt securities, including its initial public offering
  • Represented a leading provider of interior surface products for both residential and commercial builders in a private offering and private placement, and subsequently in becoming a public company and directly listing its securities on the Nasdaq Stock Market
  • Represented a Maryland REIT in multiple rounds of private offerings and private placements
  • Representation of multiple issuers in connection with a variety of capital markets transactions, including establishing and managing at-the-market equity programs
  • Represented affiliated marine park companies with global presence in debt financing as borrowers, followed by several cross-border acquisitions of marine parks in Europe and Central America
  • Represented affiliated companies involved in the development, manufacturing and wholesale of a broad range of handheld medical diagnostic devices and instruments in a competitive auction, cross-border, equity interest sale transaction in which they were acquired by a private equity fund
