Scott Looper advises midstream, LNG, and integrated energy companies on mergers and acquisitions, complex commercial contracts, project development and construction, and state and federal energy regulatory compliance. His clients include publicly traded companies (and their boards and committees), private equity funds and management committees, oil & gas producers, terminal operators, and pipeline companies navigating transactions and operations across the full midstream value chain. Scott brings a commercial perspective shaped by deep legal midstream industry experience and his prior career as an energy analyst, which inform the business-oriented counsel he provides to clients on matters involving billions of dollars in deal value.

Scott regularly structures and negotiates the full range of midstream commercial agreements, including gathering, transportation, processing, storage, terminaling, fractionation, and commodity sales contracts involving crude oil, natural gas, NGLs, water, hydrogen, RNG, and CO2. He counsels clients on joint ventures, project structuring, construction and procurement agreements, contractor management, and pipeline interconnect arrangements. His transactional work spans both FERC- and state-regulated assets, and he advises on state and federal regulatory compliance before agencies including the FERC, the Texas Railroad Commission, the Colorado Public Utilities Commission, the Energy and Commodities Management Commission, and the Regulatory Commission of Alaska.

On the M&A side, Scott has represented buyers, sellers, conflicts committees, and initial purchasers in midstream acquisitions, divestitures, dropdowns, and private note offerings with transaction values ranging from $5 million to $2.6 billion. He also has wide-ranging experience in LNG project development, having negotiated liquefaction tolling agreements, terminal use agreements, and EPCM and EPFC contracts for major export terminals and petrochemical facilities.

Scott has been recognized as a Next Generation Partner by The Legal 500 United States from 2020 through 2024, where clients have noted his technical depth and commercial intuition. He is an active participant in the Institute for Energy Law and speaks regularly at industry conferences on midstream energy issues and regulatory developments. He holds a J.D., cum laude, from the University of Houston Law Center, an M.Sc., with honors, in Business Management from the University of East Anglia, and a B.A., magna cum laude, from Trinity University.  After law school, Scott was an associate clerk for the Hon. Vanessa Gilmore in S.D.Tex.
