Represented Złota 44 sp. z o.o., a joint venture company of Amstar Global Partners Ltd. and BBI Development S.A. in connection with a general contractor agreement regarding resumption of construction work on Złota 44, a luxury residential building in Warsaw.
Represented Harper Hygienics in the purchase of a new production line and the intellectual property rights.
Represented Emperia Holding in the group’s defense against a hostile takeover by Eurocash and subsequent sale of part of its distribution business to Eurocash.°
Represented Spartan Capital Holdings in the PLN 18.1 billion acquisition of Polkomtel.°
Represented ADM International and ADM Szamotuły in litigation proceedings.°
Represented PKN Orlen S.A. in litigation proceedings before the Polish judiciary regarding compensatory damages, and also with respect to the corporate issues of a key PKN Orlen subsidiary, including representation before the Supreme Court.°
Represented Harper Hygienics in litigation matters before the Polish Patent Office and Polish judiciary.°
Represented a private equity fund in a significant legal proceeding concerning the subsidiary.°
Represented an automotive company in a litigation proceeding.°
Represented Kompania Piwowarska S.A., a SABMiller plc group company, in a proceeding related to a squeeze-out, including representation before the Supreme Court. Also represented the client in other litigation matters.°
Represented UniCredit in a proceeding concerning the validity of the sale of shares in one of the largest Polish banks.°
Represented a group of equity funds in a proceeding against the approval of a Polish court arrangement for Netia Holdings and its two affiliated entities as well as participated in negotiating an out-of-court settlement.°
Represented PGE Polska Grupa Energetyczna S.A. in an arbitration proceeding.°
Represented HBO in its dispute with Canal+, as well as negotiation of an out-of-court settlement.°
Represented Bank BPH S.A. and the bank’s Chairman in connection with infringement of personal rights.°
Represented a number of entities in pre- litigation stages as well as negotiation of out-of-court settlements; advised a large array of clients on labor law matters (employment and termination of management contracts, mass layoffs). Also participated in numerous court disputes related to labor law, and negotiated settlements and social packages in privatization processes.°
Advised Aero Vodochody, a Penta Investments group company, in the proposed acquisition of WSK "PZL-Świdnik" S.A.°
Represented Unibail Rodamco in corporate matters as well as Galeria Mokotów's shareholders agreement.°
Represented GE Transportation (GET) in connection with the sale of locomotive fleet and sourcing contracts.°
Advised Bombardier Transportation on issues related to public procurement.°
Advises Epic Games on corporate and IP matters.°
Represented Microsoft in entering into and carrying out a long-term lease agreement for an office building for Microsoft in Poland.°
Represented various other clients in M&A and real estate transactions, including Smithfields Foods, Inc., Morliny S.A., Bank Handlowy w Warszawie S.A., Accor S.A., TP S.A., ABB Sp. z o.o., and US Steel Corporation.°
Participated in and conducted legal due diligence of companies from various sectors, including real estate, hotel, banking, insurance, food and beverage, shipbuilding, energy and steelworks.°
