Miranda R. Carnes advises clients on U.S. international trade and national security matters, with a practice centered on export controls, economic sanctions, foreign investment review, and anti-corruption compliance.

Miranda counsels clients on export controls classification, licensing, and compliance under the Export Administration Regulations (EAR), administered by the U.S. Department of Commerce, and the International Traffic in Arms Regulations (ITAR), administered by the U.S. Department of State, including the preparation of CCATS and CJ requests and export license applications. She assists clients across all industries, including those working with commodities subject to rapidly evolving export controls regimes, such as semiconductors/advanced computing, artificial intelligence, additive manufacturing, and quantum computing technologies.

She also advises clients in cross-border transactions by conducting sanctions, export controls, and FCPA diligence, drafting contractual protections, structuring transactions to address regulatory risk, and preparing filings and submissions before the Committee on Foreign Investment in the United States (CFIUS) and for the Outbound Investment Security Program (OISP) and Foreign Ownership Control or Influence (FOCI) matters, including mitigation and engagement with relevant agencies.

Her practice further encompasses economic sanctions analysis and U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC)-related counseling, including specific license applications and compliance policies and procedures, as well as internal investigations, risk assessments, and voluntary self-disclosures arising from potential violations, government inquiries, and internal whistleblower complaints.

Miranda also advises on the Foreign Corrupt Practices Act (FCPA) and related anti-corruption compliance matters, including the design and enhancement of compliance programs, policies and procedures, third-party diligence frameworks, remediation efforts, and ongoing monitoring for cross-border operations.

Ultimately, Miranda provides practical, business-oriented counsel that helps clients assess risk, navigate regulatory scrutiny, and develop compliance frameworks responsive to evolving U.S. trade and national security requirements.
