Kevin Hamilton represents public and private companies, financial institutions, directors and officers, and other individuals in connection with securities class actions, shareholder derivative lawsuits, merger and acquisition litigation, corporate governance issues, internal investigations, and complex commercial litigation matters. Kevin handles federal and state court disputes, and class actions for clients across a range of industries and in multiple jurisdictions. 

Kevin has deep experience handling all phases of the litigation process, including initial investigations, responding to shareholder demands and inquiries, major motion practice, fact and expert discovery, trial preparation, and appeals. Additionally, Kevin has experience mediating and arbitrating disputes before multiple tribunals, such as AAA (including under the Commercial, International Centre for Dispute Resolution, and Independent Film & Television Alliance Rules), JAMS, and FINRA.

Prior to attending law school, Kevin was a civilian flight instructor and served on active duty as an Army infantry officer. Kevin was previously a complex litigation and securities litigation associate at another global law firm.

  • Secured dismissal with prejudice of securities fraud case alleging 3D printing company misled investors regarding its compliance with FDA regulations after only one round of motion to dismiss briefings. Later secured affirmance by the 1st Circuit in full. (U.S. Dist. Ct. for D. Mass. 2023).°
  • Represented public agricultural company in obtaining voluntary dismissal of “merger tax” lawsuit seeking to block an $18 billion acquisition. Defeated plaintiff’s motion to enjoin the upcoming shareholder vote—which was filed just two weeks before the vote was scheduled to occur—and the transaction closed as scheduled, without any supplemental disclosures or payment to plaintiff. (St. Louis County Ct. 2023).°
  • Defeated preliminary injunction seeking to enjoin natural gas company’s $35 billion merger. Secured voluntary dismissal without any supplemental disclosures or payment to plaintiff. (Pa. Super. Ct. 2024).° 
  • Defeated motion for expedited discovery on behalf of medical device company arising out of a $20 million financing transaction. Secured first-round dismissal of the underlying securities fraud class action lawsuit. (U.S. Dist. Ct. for D. Del. 2023).°
  • Advised international media conglomerate in connection with its $21 billion acquisition of a sports entertainment company. Represented the newly formed company and former directors of the target company in connection with shareholder litigation and books and records lawsuits arising out of the merger. (Del. Chancery Ct.).°
  • Represented manufacturer of the first FDA-approved oral immunotherapy for peanut allergies in resolving securities fraud class action following its acquisition by Nestlé Health Science. (U.S. Dist. Ct. for N.D. Cal. 2024).°
  • Advised software-as-a-service technology company in resolving multiple securities fraud class actions, shareholder derivative lawsuits, and other stockholder litigation alleging breach of fiduciary duties following a de-SPAC transaction. Mediated novel claims brought by multiple classes of investors, including former employees whose private options were converted into public stock. (U.S. Dist. Ct. for S.D.N.Y.; U.S. Dist. Ct. for D. Del.; Del. Chancery Ct.).° 
  • Represented special litigation committees in connection with shareholder demands and derivative litigation filed against several related entities.°
  • Advised public companies in connection with various disclosure issues, books and records demands under Section 220 of the Delaware General Corporation Law, and other corporate governance issues.°
  • Advised private companies regarding partnership disputes and breach of fiduciary duty allegations.°
  • Represented CEO of telehealth company in federal prosecution alleging violations of the Controlled Substances Act, conspiracy to distribute controlled substances, and conspiracy to commit health care fraud.°
  • Represented city government in connection with internal investigation.°
  • Represented international film production company in breach of contract action against its film distributor.°
  • Represented financial institution in litigation arising out of film distributor’s breach of financing agreements. Negotiated resolution of claims and full repayment of the financial institution’s loan.° 
  • Defended video technology company in fee dispute brought by prior counsel.°
  • Represented oil and gas company in defamation, tortious interference, and unfair competition lawsuit spanning multiple jurisdictions.°
  • Represented disabled veteran and successfully appealed the Army’s denial of medical retirement benefits before the United States Court of Appeals for the District of Columbia Circuit. Secured a precedential decision holding that: (1) the heightened deferential standard under the Administrative Procedure Act does not apply to judicial review of these types of military decisions and (2) the military is required to rate all “unfitting” medical conditions.°
