Nicholas N. Palmer focuses his practice on commercial real estate and hospitality matters. He represents clients in connection with the acquisition, disposition, financing, development and leasing of all classes of commercial real estate, including hospitality, multi-family, office, retail and mixed-use properties.

A significant portion of his practice is devoted to representing clients in connection with the acquisition, disposition, management, franchising, licensing and branding of hotels and resorts, including publicly-financed convention hotels, and branded residences. He regularly prepares and negotiates various real estate agreements, including purchase and sale agreements, leases, hotel management agreements and numerous other documents in connection with complex transactions involving the acquisition, disposition, financing, development, management and leasing of real property, with a focus on hotels and resorts.

  • Represented the Geo L. Smith, II Georgia World Congress Center Authority, as special counsel, in the financing of a $500 million hotel project on the Georgia World Congress Center Authority (GWCCA) campus, the selection of the hotel operator and the negotiation of the hotel management agreement and the development, design and construction agreements. The project consists of a 975-room full service Signia by Hilton hotel, which will overlook Mercedes-Benz Stadium in Atlanta, Georgia.
  • Represented ownership in connection with the development and financing of Stanly Ranch – Auberge Resorts Collection Resort and Residences, Napa Valley, including the negotiation of the hotel management agreement and all related hospitality agreements related to the resort and affiliated branded residences. 
  • Represented owner of Hearst Hotel in San Francisco in the negotiation of the hotel management agreement and related hospitality agreements with Auberge Resorts.
  • Represented ownership in connection with the acquisition, repositioning and management of the Wyndham Palmas Puerto Rico Beach Resort and Wyndham Grand Rio Mar Puerto Rico Golf & Beach Resort, including negotiation of hotel franchise and management agreements.
  • Represented, as part of a team, Anbang Insurance Group Co. in both the acquisition of the Waldorf Astoria New York Hotel from Hilton Worldwide Holdings Inc. and a long term hotel management agreement and related agreements with Hilton.
  • Represented owner in connection with the acquisition and development of a $625mm+ mixed use, opportunity zone project consisting of 3 multi-family residential towers, ground floor retail, a future hotel tower and shared garage and other common elements.
