  • Advised a venture capital fund in relation to its various lead investments in technology companies including negotiation of term sheets, shareholder agreements and subscription agreements together with implementation of employee share schemes.°
  • Advised an investment fund pursuing an equity interest in a mining operation involving a complex transaction structure and loan arrangements.°
  • Advised a global software company in relation to the divestment of a part of its business to a management buyer, including negotiating the agreement for sale and purchase of shares, transitional services agreement, manufacturing agreement, and licence agreement associated with the divestment.°
  • Advised LSE listed company in connection with its acquisition of manufacturer and supplier of ventilation products for NZ $72.0 million.°
  • Advised the management sellers of a sports talent management company in connection with the sale of the shares to Tokyo Stock Exchange listed company.°
  • Assisted a German multinational pharmaceutical and life sciences company in relation to its divestment of the animal health business to an American pharmaceutical company.°
