Phoebe Cooper advises clients on environmental regulatory compliance, permitting, and transactional matters. She works with companies across manufacturing, life sciences, and technology sectors to navigate federal and state environmental requirements. Phoebe also represents clients in environmental aspects of mergers and acquisitions, conducting due diligence reviews and addressing environmental liabilities in transaction documents.

Phoebe’s experience includes handling complex corporate transactions, including mergers, acquisitions, and divestitures for public and private companies. She coordinated due diligence teams, drafted transaction documents and disclosure schedules, and managed deal processes from initial structuring through closing. Her transactional experience included representing buyers and sellers in deals ranging from $7 million to $920 million across the pharmaceutical, biotechnology, industrial technology, and water infrastructure sectors.

  • Represented a NASDAQ listed global provider of industrial technology solutions in its acquisition of a leading provider of 3D measurement and imaging solutions. The acquired company specializes in portable measurement arms, laser scanners and trackers, software solutions, and comprehensive service offerings, with annual sales of approximately $340 million. The acquisition was valued at approximately $920 million.°
  • Represented a NASDAQ listed clinical-stage rare disease biopharmaceutical company in the completion of its reverse merger and concurrent private placements of $7.9 million.°
  • Advised a global developer and manufacturer of infectious disease diagnostic solutions in its acquisition of a U.S.-based scientific company and its subsidiaries. The combined company now has a total revenue of approximately $125 million.°
  • Represented a leading global investment firm in its strategic investment to facilitate the merger of two prominent destination management companies. The combined entity provides comprehensive event services in both U.S. and international markets, specializing in planning and managing large corporate events, incentive trips, and conferences. The merger enhanced the company's ability to deliver bespoke event experiences across 46 destinations, leveraging deep local expertise in décor design, food and beverage management, entertainment, production, and transportation.°
  • Conducted a comprehensive evaluation of state laws to determine whether prior authorization is required or prohibited for specific health care services. The project focused on ensuring compliance with evolving regulations in government-sponsored programs like Medicaid and Medicare, as well as Health Insurance Marketplace plans.°
  • Screened, evaluated, investigated and developed cases for Mid Atlantic Innocence Project litigation where an inmate has been wrongfully convicted of a crime but is in fact innocent; advocated for policies and reforms to address systemic causes of wrongful convictions.°
