Karl G. Dial is a board certified civil trial specialist and CPA with 35 years’ experience trying complex civil cases. He focuses his practice on commercial litigation, including bet-the-company cases involving claims against directors and officers, professional malpractice, securities litigation, trade secrets, energy litigation, intellectual property litigation, and class actions. Karl has wide-ranging experience litigating throughout the United States and has tried more than 45 complex civil cases.



  • Securities and Director & Officer Litigation: Represented over one hundred officers and directors in securities class actions, derivative suits, SEC enforcement matters, and other claims.°
  • Energy Litigation: Handled numerous disputes involving lease ownership, drilling operations, working interests, exploration and production, pipelines, reserves, and other energy issues.°
  • Trade Secrets Litigation: Handled numerous cases involving trade secrets and non-disclosure agreement claims including injunctive relief and damages.°
  • Regulatory Investigations: Handled dozens of regulatory enforcement actions by federal and state regulators.°
  • Trade Secrets/Contract Litigation: Jury trial of trade secrets, contract and fraud claims involving software development project, with damages claimed in the nine figures.
  • Manufacturer Accounting Litigation: Defending mid-sized accounting firm against claims that a manufacturing company’s alleged improper accounting caused claimed damages of US$12 million.
  • Health Care Litigation: Defending major hospital system against multiple putative class actions alleging surprise billing for services.
  • Caribbean Islands Litigation: Representing Silicon Valley investor in dispute over ownership of two Caribbean islands; opposing party claimed damages of over US$44 million.
  • Energy Pipeline Litigation:Defending energy company in dispute over ownership of a pipeline. Obtained summary judgment, currently on appeal.
  • Ponzi Scheme Litigation: Defended large accounting firm against Ponzi scheme and securities claims seeking US$7 billion in investor losses.°
  • Securities Fraud Litigation: Obtained dismissal of class action securities claim (affirmed by the Fifth Circuit) seeking US$1.5 billion against the chief financial officers of one of the largest failed banks.°
  • SEC Investigations: Defending “Big 4” accounting firm in SEC investigations related to financial statements of publicly-traded companies including retailers, health care companies, and energy companies.
  • International Merger Litigation: Defended against injunction claims, class actions, and derivative lawsuits seeking to interfere with US$30 billion merger.°
  • Auditor Litigation: Jury trial involving accounting malpractice claims by investor that purchased all of a publicly traded company’s stock through a tender offer.°
  • Bankruptcy Litigation: Defended “Big 4” accounting firm in dispute related to audited financial statements of a company that filed for bankruptcy.
  • Working Interest Litigation: Arbitration of dispute between energy companies over the ownership and sale of oil and gas leases for US$44 million.°
  • Computer System Litigation: Represented a public company plaintiff against systems software developer for failed business process system with alleged damages of over US$15 million.°
  • GPS Technology Litigation: Jury trial for plaintiff on trade secrets and breach of contract claims.°
  • Wireless carrier Litigation: Represented wireless telecommunications company in several patent infringement and trade secrets cases against another wireless carrier in US$50 million dispute.
  • Pipeline Spill Litigation: Defended major oil company in hundreds of environmental claims based on pipeline rupture that spilled over 10 million gallons of gasoline.°
  • Fiduciary Duty Litigation: Jury trial of shareholder derivative lawsuit involving claims for over US$20 million based on breach of fiduciary duty and accounting fraud.°
  • Securities Sale Litigation: Represented sellers of securities seeking payment of US$40 million for post-closing consideration based on post-sale financial results of the business.°
  • Auditor Liability Litigation: Five-month jury trial of audit malpractice claim seeking over US$10 million.°
  • Reservation System Litigation: Represented software system developer in dispute over failed system with claims in excess of US$300 million.°
  • Accounting Fraud Litigation: Jury trial of securities fraud and malpractice claims by class of investors seeking over US$100 million.°
