Makoto Koinuma

Makoto Koinuma focuses his practice on capital markets, finance and general corporate matters. He is experienced in financial regulatory matters and advises a wide range of international financial institutions, funds and exchanges. He also represents various clients in mergers and acquisitions, joint ventures and business alliance transactions.Prior to joining the firm, he was an associate of a leading international firm where he was a member of its Banking, Capital Markets and Restructuring Group from 2009 to 2014. He also worked at a leading trading company from 1995 to 2004.



  • Represented a FinTech company on the registration as Virtual Currency Exchange and Money Transfer Operator.
  • Advised an online FX broker in their potential alliance with an AI-based investment algorithm provider.
  • Represented a US derivatives clearing organization in obtaining foreign clearing organization license in Japan.
  • Advised a Japanese asset manager in offering an investment partnership (preferred /subordinated class).
  • Represented a major Japanese trust bank for their investment in various types of foreign funds.
  • Represented a major Japanese trust bank acting as trustee to auto loan securitization projects originated by a German automobile group’s financial subsidiary.
  • Acted as lender’s counsel on a leverage finance with respect to merger of a global private trading system operator.
  • Acted as buyer’s counsel for a US CRO in a corporate split and joint venture transactions with a Japanese major pharmaceutical company.
  • Acted as buyer’s counsel for a Chinese Fintech company in a joint venture transaction with a Japanese consumer service platform provider.
