Jerry Carter


Jerry Carter focuses his practice on general corporate matters, mergers and acquisitions, capital markets transactions, real estate, and gaming regulations.

Prior to joining the firm, he worked for a law firm in the United States, assisting Japanese corporate clients with formation, maintenance and dissolution of business entities, mergers and acquisitions, corporate reorganizations and joint ventures. He also advised Japanese corporate clients on the legal aspects of the manufacture and sale of goods in the US, including terms and conditions of sale or purchase, and supply, distribution, and sales representative agreements.



  • Represented a Japanese manufacturer of inductive components in connection with its $55 million acquisition of a U.S. coil manufacturer.°
  • Represented a Japanese manufacturer of ball bearings in connection with its $95 million acquisition of a U.S. tooling manufacturer.°
  • Represented a U.S. logistics company in connection with the $15 million sale of its stock to a Japanese logistic company.°
  • Represented a Japanese manufacturer of aluminum in connection with a reorganization following its $155 million acquisition of a U.S.-based aluminum extrusion and fabrication company.°
