Jerry Carter is an international real estate attorney based in Tokyo and a member of Greenberg Traurig’s Asia Real Estate Practice. Jerry advises on virtually all transactional aspects of commercial real estate and has a particular focus on multi-asset purchase and sale transactions, financing transactions, and complex joint ventures, both inbound into Japan and outbound into the United States, for various asset classes, including data centers, office buildings, multi-family and residential developments, and integrated resorts and related facilities.

In addition, Jerry has represented major public and private companies, across various industries in both the United States and Asia, in connection with complex cross-border mergers and acquisitions, general corporate and commercial matters, and private equity transactions.

Prior to joining Greenberg Traurig, Jerry worked at an international law firm in Tokyo, and at a law firm in Chicago, mainly assisting Japanese companies to enter, operate, and expand in the United States through mergers and acquisitions and commercial and real estate transactions.

Jerry has lived in Japan for a number of years, can read, write, and speak the Japanese language, and lectures at a top law school in Japan.

  • Represented a Chinese real estate holding company in connection with its approximately $20 million sale of multi-family and residential developments in the U.S.
  • Represented a Chinese real estate and development company in connection with its $175 million acquisition and financing of a multi-family and residential development in the U.S.
  • Represented a European real estate fund in connection with its $86 million sale and disposition of a large mixed-use real estate project in Japan.
  • Represented an APAC property and infrastructure company and its co-investment partner, a sovereign wealth fund, in connection with their approximately $1 billion sale of a data center in Japan.
  • Represented an APAC property and infrastructure company in connection with its approximately $90 million acquisition of a portfolio of multi-family and residential developments located in a variety of locations in Japan.
  • Represented a Chinese private equity firm in connection with its $10 million mezzanine loan used downstream to acquire and finance a parcel of land in the U.S.
  • Represented a consortium consisting of a Hong Kong publicly listed company and a international casino operator in connection with their potential approximately $8 billion real estate and infrastructure project in Japan.
  • Represented a Chinese private equity firm (approximately $2 billion AUM) in connection with the restructuring of its fund investment platform investing in hotel properties across the U.S.
  • Represented international gaming, hotel and resort companies throughout Japan in connection with their potential billion-dollar real estate and infrastructure projects in Japan.
  • Represented an international real estate fund (approximately $100 billion AUM) in connection with its approximately $50 million acquisition of a portfolio of multi-family and residential developments located in a variety of locations in Japan.
  • Represented a syndicate of Japanese financial institutions in connection with an approximately $200 million facility extended in Japan and secured by real estate assets located in the U.S.
  • Represented a Korean electronics manufacturer in connection with its potential approximately $300 million acquisition of U.S. and German digital services and connectivity system companies.
  • Represented a Japanese technology company in connection with its reorganization prior to its potential approximately $800 million IPO.
  • Represented a Japanese electric utility company in connection with its potential approximately $100 million minority investment in a Vietnamese solar and wind power company.
  • Represented a Japanese pharmaceutical manufacturer in connection with its $108 million acquisition of a U.S. pharmaceutical producer.°
  • Represented a Japanese manufacturer of inductive components in connection with its $55 million acquisition of a U.S. coil manufacturer.°
