Greenberg Traurig Represents Adventus Capital in Mexico’s First Simplified Issuance

MEXICO CITY – Oct. 14, 2026 – Attorneys from global law firm Greenberg Traurig’s Mexico office represented Adventus Capital as settlor of an irrevocable administration, debt securities issuance, and source-of-payment trust established to carry out a simplified issuance of trust certificates in Mexico valued at MXN 560 million.

Through the transaction, a loan backed by federal tax revenue sharing (participaciones federales) and subsovereign bonds were contributed to the trust and securitized.

The transaction marks the first simplified issuance completed in Mexico since the regulatory framework was introduced in 2023. As a pioneering transaction in the Mexican capital markets, it is expected to expand access to financing by providing midsize companies with an efficient alternative for raising capital through public securities offerings.

The Greenberg Traurig team in Mexico City was led by Capital Markets Shareholder David Argueta and Banking & Financial Services Shareholder Rodrigo Orozco Waters, with support from Associates Edgar Fernando Orozco Ceballos and Andres Gallastegui, as well as Law Clerk María Fernanda León Cuevas, who assisted with the preparation of the transaction documentation.
