Barbara Pancer is involved in major real estate and infrastructure projects on the Polish market, including logistics centers, shopping centers and office buildings. Barbara drafts and negotiates agreements related to the entire investment process, including sale agreements, EPC and other construction contracts (also based on FIDIC templates), development management agreements, property management agreements and commercial leases. Barbara advises on the development process at each construction stage – from the construction permit to the occupancy permit. She also represents clients on matters related to renewable energy sources and a variety of environmental issues – in particular on water-law issues, soil contamination and waste management. She has broad experience in performing due diligence audits related to the legal aspects of real estate in connection with the sale and purchase of real estate, as well as for banks financing acquisitions or development of real estate.
Barbara represents institutional and private investors, developers, banks, energy companies, state agencies, landlords and tenants on retail, warehouse, office and residential real estate projects. She also advises on matters connected with the development process, including environmental decisions, planning, permit and construction issues.

- Represented GLP Poland in the acquisition of two logistics warehouses in Janki near Warsaw. The properties have a total area of 37,600 sq. m.
- Represented PAK-Polska Czysta Energia, part of ZE PAK Group and one of the leaders in energy transition in Poland, in connection with the acquisition of another special purpose company owned by the Neoinvestment Group and responsible for the construction of a wind farm situated in Potęgowo, Słupsk and Damnica in the Pomerania Province, consisting of 23 Vestas wind turbines with a total capacity of approx. 50.6 MW.
- Represented Stock Spirits group in connection with the indirect acquisition of 100% of the shares in Polmos Bielsko-Biała S.A. Stock Spirits is a portfolio company owned by a fund managed by CVC Capital Partners.
- Advised PAK-Polska Czysta Energia in connection with the acquisition of a special purpose company owned by the Neoinvestment Group, responsible for the construction of a wind farm situated in Człuchów, consisting of 33 wind turbines with a total capacity of approx. 72.6 MW.
- Advised Tritax EuroBox on the sale of the warehouse leased to Castorama located in the Polish logistics hub of Stryków near Łódź to Savills Investment Management. The property sold had a total area of over 101,500 sq. m and the value of the transaction amounted to approx. EUR 65.5 million.
- Advised Panattoni Development Europe on a transaction involving the sale of the Łódź City VI logistic park, fully leased to leading tenants by Panattoni, to a partnership between Kajima Properties and Savills Investment Management on behalf of its Asian client. The logistic park has a total warehouse space of 144.880 sq. m.
- Advised Tritax EuroBox plc on the acquisition of a technologically advanced logistics facilities in Stryków, Central Poland, from one of the Panattoni Europe group companies (including one facility under construction).
- Advised CBRE Global Investors fund in connection with the acquisition of two office buildings in Wrocław.
- Advised Amstar/BBI in connection with the acquisition of the Złota 44 residential building in Warsaw.°
- Advised BGK Nieruchomości in connection with the acquisition of properties.°
- Advised funds in connection with acquisitions of warehouse buildings in Poland, as well as on construction, property management and leasing issues.°
- Advised Panattoni in connection with environmental, land development and construction matters.
- Advises GLP group companies (formerly Goodman) in connection with legal issues related to environmental conditions, land development and construction process.
- Advised Goodman group companies in connection with the drafting of general construction agreements for warehouse facilities.

- Represented Value4Capital, a private equity firm, in the sale of 100% of the shares in Kom-Eko to a fund whose sole and exclusive investment advisor is CEE Equity Partners.
- Advised Cyfrowy Polsat S.A. and Polkomtel sp. z o.o. (“Polsat Group”) which have concluded a conditional share sale agreement concerning a 99.99% stake in Polkomtel Infrastruktura sp. z o.o., a subsidiary of Polsat Group, with Cellnex Poland sp. z o.o., a subsidiary of Cellnex Telecom S.A., Europe’s leading operator of telecommunications infrastructure. The value of the transaction was over PLN 7 billion.
