Justin E. Mann focuses his practice on corporate, fund, and governance matters, with an emphasis on transactions involving Delaware corporations, limited liability companies, and limited partnerships. He advises domestic and international public and private companies in connection with mergers and acquisitions, public offerings, secondaries, private placements, asset sales, stock purchases and issuances, contests for corporate control, going-private transactions, and structuring and operation of funds and joint ventures. Justin also routinely renders third-party opinions on Delaware corporations, limited liability companies, and limited partnerships.
Justin is a member of the Delaware State Bar Association’s Committee on Limited Liability Companies and Partnerships and has helped draft, amend, and implement Delaware laws that impact his clients. Justin’s in-depth understanding of the Delaware General Corporation Law, Delaware’s alternative entity statutes, and Delaware common law enables him to provide his clients with practical and efficient advice on their most complex and sensitive matters.
