On Sept. 18 2017, Mexico’s Ministry of Energy (SENER) announced the new contracting model for energy transmission lines. The new model will allow the implementation of tender processes for the award and execution of contracts for the management of electricity transmission (Contracts) with private parties in order for them to carry out, on behalf of the Mexican State, the financing, installation, maintenance, management, operation, and expansion of the required infrastructure for the provision of public transmission services. These tender processes are part of Mexico’s efforts to modernize its transmission infrastructure, anticipating increases in electricity generation and demand, with the assistance of the private sector. The announcement provided the following information about the new contracting model:
- The tenders will be organized by SENER which will enter into the Contracts with the winning bidder. The projects to be tendered include some of those in the Program for the Development of the National Electricity System (PRODESEN).
- SENER is expected to select the projects to be tendered next month, with the first tender expected to be launched in November 2017 and conclude by July 2018.
- There are two project options for the first tender: (a) the interconnection of Baja California with Sonora and (b) the interconnection of Tamaulipas with the United States. For a bidder to win a tender, it will have to offer the lowest net present value, guaranteeing the better social benefit and evidencing sufficient technical, operational, and financial capabilities.
- SENER will not assume payment obligations for these projects and they will not have any credit support from the federal government. The proposals of the winning bidders in the tenders will be used to determine their annual contractual payments under the Contracts, which will be included by the Energy Regulatory Commission (CRE) as “regulated revenues” of the national transmission network’s public transmission service. The “regulated revenues” will be recovered with the average of the charges for the usage of the general grid incurred by the participants in the wholesale electricity market through the National Center for Energy Control (CENACE).The model Contracts make reference to a private trust (fideicomiso) where the winning bidder will act as the settlor and SENER as the trustee. The totality of the flows related to the project will be transferred to the trust, so that the trust will also serve as a guarantee mechanism for the payment to financing entities and suppliers; the project assets will also be transferred to the trust.
- In addition, the winning bidders will execute agreements for the technical and commercial operation of the transmission (Agreements) with CENACE, where it will have, at all times, full operative control, and under which CENACE will invoice and charge to the different market participants the relevant charges for the transmission services to, subsequently, pay the contractor (winning bidder).
- At the time the Contracts expire, title over the transmission line will be transferred to the Mexican State.
It is estimated that from 2017 to 2024, Mexico will demand investments of MXN $ 205 billion (approximately USD $ 12 billion) related to the development of these types of projects.
SENER is expected to organize a workshop in mid-October 2017 to discuss the new contracting model. Also, the Contract model has been made available by SENER in order to receive comments from the public. On the other hand, the Ixtepec-Yautepec project (i.e., the Oaxaca project) will not be conducted using the new contracting model, since it will be launched by the Federal Electricity Commission (CFE) through a different, independent scheme. That means that the new contracting model does not affect the rights of the CFE or any other transporters to launch other types of projects for the development of transmission lines under other schemes.
Nuevo Modelo de Contratación para Líneas de Transmisión Eléctrica en México
El 18 de septiembre de 2017, la Secretaría de Energía (SENER) anunció el nuevo modelo de contratación para líneas de transmisión eléctrica. El nuevo modelo, permite la realización de licitaciones para la asignación y celebración de contratos de gestión de transmisión de energía eléctrica (Contratos) con particulares, para que éstos lleven a cabo, por cuenta del Estado de México , el financiamiento, instalación, mantenimiento, gestión, operación y ampliación de la infraestructura necesaria para prestar el servicio público de transmisión. Estas licitaciones son parte de los esfuerzos del Estado de México para modernizar su infraestructura de transmisión y anticiparse al incremento en la generación y demanda de electricidad, con apoyo del sector privado. Mediante el anuncio, se dio a conocer la siguiente información relativa al nuevo modelo de contratación:
- Las licitaciones serán organizadas por la SENER, la cual celebrará los Contratos con los licitantes ganadores. Los proyectos a licitarse son algunos de los incluidos en el Programa de Desarrollo del Sistema Eléctrico Nacional (PRODESEN).
- Se espera que el mes entrante, la SENER seleccione los proyectos a licitar y que la primera licitación se inicie en noviembre de 2017, para concluir en julio de 2018.
- Existen dos opciones de proyectos para la primera licitación: (a) la interconexión entre Baja California y Sonora, y (b) la interconexión de Tamaulipas con los Estados Unidos. Para resultar ganador de las licitaciones, los interesados deberán ofrecer el menor valor presente neto, garantizando el mejor beneficio social y demostrando que cuentan con las capacidades técnicas, operativas y financieras suficientes.
- La SENER no asumirá obligaciones de pago para estos proyectos y los mismos no serán garantizados por deuda del gobierno federal. Las propuestas de los licitantes ganadores servirán para determinar el pago que les corresponderá anualmente bajo los Contratos, los cuales serán incluidos por la Comisión Reguladora de Energía (CRE) como “ingresos regulados” del servicio público de transmisión de la red nacional de transmisión. Dichos “ingresos regulados” serán recuperados por medio de las tarifas generales de uso de la red incurridos por los participantes del mercado eléctrico mayorista a través del Centro Nacional de Control de Energía (CENACE). Los Contratos hacen referencia a un fideicomiso privado, en donde el licitante ganador será el fideicomitente y la SENER el fideicomisario. En el patrimonio del fideicomiso se incluirá la totalidad de los flujos del proyecto, con el objeto de que el fideicomiso sirva también como mecanismo de garantía de pago a las entidades financistas y proveedores. Los activos del proyecto también se incluirán en el fideicomiso.
- Además, los licitantes ganadores celebrarán convenios para la operación técnica y comercial del servicio de transmisión (Convenios) con el CENACE; en los que éste ejercerá el pleno control operativo del proyecto y facturará y cobrará a los distintos participantes del mercado los cargos correspondientes por el servicio de transmisión, para posteriormente pagar al contratista (ganador de la licitación).
- Al término de los Contratos, la propiedad de la línea de transmisión se transferirá al Estado de México.
Se estima que entre 2017 y 2024, México requiera inversiones de MXN $205 mil millones (USD $12 mil millones, aproximadamente) para el desarrollo de este tipo de proyectos.
Se espera que a mediados de octubre de 2017, la SENER organice un taller para discutir el nuevo modelo de contratación. Además, el modelo de Contrato ha sido publicado por la SENER para recibir comentarios del público. Por otra parte, para el Proyecto Ixtepec-Yautepec (i.e. el Proyecto Oaxaca) no se utilizará el nuevo modelo de contratación, ya que será iniciado mediante un esquema diferente e independiente de la Comisión Federal de Electricidad (CFE). Esto significa que el nuevo modelo de contratación no afectará los derechos de la CFE u otros transportistas de poner en marcha otro tipo de proyectos para el desarrollo de líneas de transmisión bajo otros esquemas.
