Abdullah Alzamil is one of the most prominent names in the legislative, regulatory and public policy consultancy industries in Saudi Arabia, having spent over a decade at the forefront of regulatory transformation, complex infrastructure initiatives, and high-value transactions across the Kingdom of Saudi Arabia (KSA) and beyond. He has played a pivotal role in the development of regulatory and public policy frameworks and has been a key partner in enhancing the efficiency of the legislative system and supporting institutional and regulatory reform efforts. His contributions have culminated in the formulation and development of substantive legislation and regulatory frameworks in support of KSA’s Vision 2030.

  • Advised a Saudi region development authority on a bus rapid transit project, delivering legal guidance through all phases including preliminary studies, pre-qualification, negotiation of EPC and OM agreements, financial closing, etc.°
  • Advised the National Center for Privatization (NCP) & Ministry of Human Resources and Social Development on a social case survey project, a project being executed via a P3 model.°
  • Advised the Ministry of Commerce on crafting the legislative and contractual framework for an IT and digital infrastructure development and operation initiative structured as a public-private partnership model.°
  • Advised a Saudi public entity on the utilization of the entity-owned properties in P3 arrangements and addressing & mitigating risks.°
  • Advised a pioneer business services and solutions company regarding a technology infrastructure P3 project to implement additional capabilities into existing government software through a revenue-sharing arrangement between public and private sectors.°
  • Advised a premier construction firm on an EPC agreement with a real estate investment fund for a 200-unit residential development valued at over SAR 150 million (approx. US $40 million).°
  • Advised an investment firm on an upscale bazaar venture valued at over SAR 100 million (approx. US $27 million), delivering comprehensive legal guidance on the tendering, negotiation, and documentation process with contractors, suppliers, and providers.°
  • Advised the National Center for Privatization (NCP) on developing a framework for privatization and P3 public policy.°

    • SAR 1.23 billion+ (approx. US $326M+) claim against Saudi ministry regarding constructing correctional facilities in multiple cities, involving disputed variation order approvals, additional work costs, and claims for timeline extensions compensation.°
    • SAR 1.22 billion+ (approx. US $326M+) claim against Saudi ministry for HQ construction project involving disputed variation orders, compliance issues with government procurement laws regulations, delays in change orders approvals, and change orders cost increases.°
    • SAR 990 million+ (approx. US $264M+) claim against public authority regarding BOT contract disputes involving user-payments terms, inflation adjustment requests, and project handover meeting minutes.°
    • SAR 400 million+ (approx. US $107M+) claim against a government body regarding an airport construction project, involving issues like lack of contract formation, disputed variation orders, and compliance with government procurement laws regulations.°
    • SAR 300 million+ (approx. US $80M+) claim against a public university regarding an automated train system project involving numerous disputed variation orders for additional work and imposition of late completion penalties.°
  • Advised the Ministry of Municipal, Rural Affairs and Housing (then the Ministry of Housing) on the legal structure and institutional framework for incorporating the National Housing Company (NHC), a state-owned company with a capital of SAR 2 billion (approx. US $533 million) that provides financing solutions for housing and drafted the by-laws of the company.°
  • Advised real estate development company on acquiring a real estate joint venture and two real estate companies valued at SAR 187 million (approx. US $50 million) in exchange for newly issued stocks in the acquiring company.°
  • Advised a real estate development company on an agreement with a real estate investment fund concerning the development of commercial and residential properties exceeding SAR 140 million (approx. US $37 million) in value.°
  • Advised a real estate company on the finance round of SAR 100 million (approx. US $27 million) to fund new and current real estate projects in exchange for newly issued ordinary shares.°
  • Advised a publicly-listed insurance and reinsurance company on SAR 70 million (approx. US $18 million) vertical acquisition of a medical insurance claim settlement company.°
  • Advised and represented real estate company in a complex negotiation of a protracted commercial lease agreement of a mall for more than 20 years, amounting to SAR 45 million (approx. US $12 million).°
  • Advised a well-renowned client in a joint venture for land development of an area measuring 800,000 square meters for commercial use and assisted in drafting necessary agreements required for the real estate partnership amounting to SAR 80 million (approx. US $21 million).°

  • Acted as general counsel for a finance company for 10 years, advising on legal and Shariah matters related to their finance operation and products; key engagements include:
    • Structuring Shariah-compliant SAR 500 million (approx. US $133 million) hybrid Sukuk (Murabaha & Mudaraba).°
    • Structuring a master loan and facilities agreement amounting to more than SAR 50 million (approx. US $13 million) from the Small and Medium Enterprises General Authority (Monsha'at) and drafting all relevant documentation.°
    • Structuring Shariah-compliant Real Estate Ijarah finance product (a corporate finance product) and drafting all relevant documentation.°
    • Structuring Shariah-compliant Shares Murabaha finance product (a corporate finance product) and drafting all relevant documentation.°

    • Structuring Shariah-compliant innovative financing solutions tailored for small and medium enterprises (SMEs), including:
      • a fast-cash financing solution for operational credit requirements.°
      • a crowdlending solution, and drafting all associated terms & conditions, policies, documentation for the relevant platform (i.e., website) in compliance with SAMA guidelines.°
      • a merchant cash advance solution, incorporating point-of-sale Murabaha financing structures and drafting comprehensive documentation.°
  • Advised on a syndicated financing exceeding SAR 1 billion (approx. US $267 million) for the Sara Tower in Mecca, and provided counsel on the associated suite of agreements, including the financing agreement itself, as well as agency, management, and rental agreements, among others.°
  • Advised a business services company on project financing through Ijarah.°
  • Provided continuous legal and Shariah advice to the Saudi Investment Bank (SAIB) on various matters, including:
    • Structuring Shariah-compliant revolving credit card product employing Murabaha scheme and drafting all relevant documentation.°
    • Structuring Shariah-compliant investment current account product employing Murabaha scheme and drafting all relevant documentation.°
    • Structuring Shariah-compliant savings account product employing Murabaha deposit scheme and drafting all relevant documentation.°
    • Structuring Shariah-compliant residential real estate financing product and drafting all relevant documentation.°
  • Provided strategic legal counsel to a Saudi public entity on the structuring, enablers, and risk assessment of its borrowing arrangements—whether as a public entity engaging with private sector institutions or through its subsidiaries—and advised on the implications of such transactions.°
  • Represented a publicly listed insurance company in a dispute with a former board member and former CEO at the Commercial Court regarding his liability as a manager for damages and losses incurred by the company because of misuse of company funds and assets and obtained a trial judgment of SAR 152 million (approx. US $40 million) in favor of the client.°
  • Represented a client in a dispute with a local municipality over the ownership of real estate worth more than SAR 400 million (approx. US $107 million) at the General Court; a royal decree has been issued regarding the matter.°
  • Represented a businessman in a dispute with a Saudi bank over real estate ownership worth more than SAR 100 million (approx. US $27 million) and obtained a court judgment in favor of the client.°
  • Representing a professional practitioner at the Commercial Court in a dispute with an international auditing and consulting firm regarding wrongful termination of partnership and compensation claim exceeding SAR 100 million (approx. US $27 million).°
  • Representing a finance company in a dispute regarding the foreclosure of a real estate mortgage exceeding SAR 40 million (approx. US $11 million) related to a credit facility agreement before the General Court, the Committee for Resolution of Financial Disputes & Violations, and the Enforcement Court; the dispute is still at trial.°
  • Represented a client in dispute with an investment manager regarding the claim of investment amounts and earnings generated, where the investment manager claims a loss, and obtained a court judgment in favor of the client.°
  • Represented a publicly listed company by leading an investigation team of lawyers and accountants to conduct lengthy and extensive financial scrutiny in a matter of senior executive fraud and embezzlement amounting to more than SAR 300 million (US $80 million).°
  • Represented a publicly listed company in investigations of transactions exceeding SAR 40 million (US $11 million) due to suspicion of a mid-level manager's fraud and embezzlement.°
  • Led an investigative mission focused on addressing suspicions of forgery of the incorporation documents of a local subsidiary of a global professional services firm and constructed a criminal case evidencing deliberate document forgery and fraud by the managing director for tax evasion purposes.°
