Melissa Groisman is a Miami-based real estate attorney in Greenberg Traurig’s Real Estate Practice. She represents institutional investors, REITs, private investment groups, and developers in complex commercial real estate transactions, including acquisitions, dispositions, financings, and development matters across multifamily, residential, industrial, office, retail, and alternative asset classes.

With nearly two decades of experience, Ms. Groisman focuses her practice on the structuring and execution of sophisticated real estate transactions and advises clients at all stages of the deal lifecycle, from initial due diligence through closing. She is known for her practical, business-oriented approach and her ability to drive transactions forward, anticipate and resolve deal issues efficiently, and serve as a steady lead on matters involving multiple stakeholders and tight timelines.

Ms. Groisman holds an AV Preeminent® Rating from Martindale-Hubbell, reflecting the highest peer recognition for legal ability and ethical standards. A Miami native with Argentine roots, she is fluent in Spanish and earned her J.D. as a Dean’s Merit Scholar from the University of Miami School of Law and her B.A. from Duke University.

  • Commercial Real Estate Acquisitions and Dispositions. Representation of developers, institutional investors, private equity funds, and REITs in single-asset and portfolio transactions across a broad range of commercial asset classes, including multifamily, residential, industrial, office, retail, affordable housing, and alternative real estate assets.
  • Complex Real Estate Financings and Refinancings. Borrower- and lender-side representation in acquisition, construction, and permanent financings, including Fannie Mae and Freddie Mac loans, loan assumptions, modifications, consolidations, spreader loans, and construction-to-permanent financing structures.
  • Title, Survey, Zoning, and Development Risk Management. Advising clients on complex title and survey matters, zoning and land-use issues, easements, declarations, and other development-related risks impacting commercial real estate transactions.
  • Condominium, Association, and Regime Control Transactions. Representation in transactions involving condominium and homeowners’ associations, including bulk unit acquisitions, association control strategies, termination planning, declaration amendments, and negotiations with master and governing associations.

  • Lead Counsel - $82 Million Acquisition of Three Multifamily Properties in Miami-Dade and Broward Counties. Represented a multifamily developer in the $82 million simultaneous acquisition of three apartment communities located in Miami-Dade and Broward Counties. The transaction involved negotiating the assignment, assumption, merger, and spreader of existing loans to facilitate financing, and required coordinated closings across all three properties.°
  • Local Counsel - $102 Million Acquisition in Plantation, Florida. Served as local counsel to a New York-based private equity group in its $102 million acquisition of a 404-unit apartment complex located within a mixed-use development in Plantation, Florida. Representation included complex title, survey, and zoning review, and extensive negotiations with the master association regarding their recorded Declaration encumbering the property.°
  • Borrower’s Counsel - $28.1 Million Refinance Involving Fannie Mae Financing and Preferred Equity. Counsel to borrower in connection with a $28.1 million refinance of two multifamily properties in Broward County through a Fannie Mae loan originated by an institutional lender. Also coordinated with corporate counsel in connection with a preferred equity investment by a publicly traded REIT, negotiated concurrently with the refinance transaction.°
  • Lead Counsel – Simultaneous Acquisition of Three Multifamily Properties in Fort Lauderdale. Represented private equity group in the coordinated acquisition of three multifamily properties in Fort Lauderdale, each from a separate seller and closed simultaneously: a 33-unit workforce housing community ($6.9 million), a 34-unit rental apartment complex ($14.9 million), and a 24-unit affordable housing building ($4.1 million). Financing was structured through two assumed, modified, consolidated, and spread loans from an institutional lender.°
  • Lender’s Counsel - $20 Million Acquisition and Construction Loan. Counsel to private lender in connection with a $20 million acquisition and construction loan to a spec home developer in Fort Lauderdale. Representation included structuring and negotiating loan documents for a combined financing package supporting both land acquisition and vertical development.°
  • Buyer’s Counsel - Dual Transaction at Continuum South Beach. Counsel to a residential real estate investor in a dual transaction involving the simultaneous purchase and sale of condominium units between two parties. Representation included a $17.185 million acquisition of two neighboring units and a concurrent $12 million sale of a separate unit within the same building. The transaction required intricate coordination between two closing agents and careful structuring of interdependent closing statements to ensure both deals closed successfully on the same day.°
  • Lead Counsel - $12.5 Million Acquisition and Financing of Affordable Housing Community in Lake Worth, Florida. Represented buyer in connection with the $12.5 million acquisition and loan for a 36-unit affordable housing townhome community in Lake Worth, Florida. Negotiated assumption of the seller’s existing loan and supported corporate counsel in structuring a private equity investment from a publicly traded REIT into the buyer entity.°
  • Developer Counsel – Construction Access Easement with Broward County School Board. Represented local multifamily developer in securing a construction access easement across public school property in Broward County. Representation included a six-month negotiation with the Broward County School Board, involving multiple levels of review, stakeholder meetings, and approvals. Drafted the final easement agreement following successful resolution of access issues.°
  • Title Counsel – $66.8 Million Construction Loan to New Jersey Developer. Served as title counsel as part of the lender representation team in connection with a $66.8 million construction loan to a New Jersey developer. Representation included title and survey review, negotiation of the loan proforma, deletion of title exceptions, and selection of appropriate endorsements to support the lender’s coverage requirements.°
  • Title Counsel – $27.4 Million Construction Loan for Development Site in Georgia. Served as title counsel as part of the lender representation team in connection with a $27.4 million construction loan for a development site in Georgia. Representation included title and survey review, negotiation of the loan proforma, deletion of title exceptions, and selection of appropriate endorsements to support the lender’s coverage requirements.°
