Edward S. Hershfield focuses his practice on representing clients throughout the United States in all aspects of complex real estate transactions, including acquisitions, financings, restructurings, zoning and land use matters, development and permitting processes, workouts, and dispositions. His clients include institutions, national real estate developers, private equity funds, hedge funds, foreign investors, pension fund advisors, publicly traded corporations, national banks, and other lenders.

Ed is regularly involved in all facets of structuring real estate acquisitions, developments, financings and dispositions, including working with clients to create development entities, analyze potential sites and projects, and obtain traditional and innovative financing, including preferred equity and mezzanine loans. He also works with owners and lenders to develop and implement financing workouts and restructures of real estate loans. He has been involved in creating numerous “shared appreciation” restructurings where lenders and other creditors obtained equity interests and additional payments based on future property performance and sales value. His experience includes working with owners, private equity funds, hedge funds, and other investors in identifying value in real estate assets, developing strategies to give his clients competitive advantages, and acquiring assets or loans to enable his clients to take full advantage of opportunities.

  • Representation of an international hotel chain in the development and leasing of an air rights project above the Massachusetts Turnpike; the first air rights project in Boston’s Back Bay in nearly forty years.
  • Representation of a national real estate company in the acquisition and financing of a major development site in Downtown Boston, including agreements with preferred equity and equity sources and development agreements.
  • Representation of a national real estate development company in the acquisition, permitting, financing and construction of a former military base in Massachusetts.
  • Representation of a national casino developer in the acquisition and permitting of a casino site.°
  • Representation of a national lender in a tax credit mezzanine loan for the redevelopment of a historic site into a hotel.
  • Representation of a developer in the conversion of a coal fired power plant into a natural gas powered facility and the redevelopment of adjoining land into a mixed use project.
  • Representation of a major Chinese investment fund in the acquisition of interests in development projects.
  • Representation of a major regional development company in acquisition, financing, leasing, and disposition of multiple mixed-use sites in Massachusetts.
  • Representation of a real estate investment trust (REIT) in connection with the acquisition, development and permitting of numerous sites throughout New England.°
  • Representation of a national pension fund advisor in the acquisition, development, permitting, construction, financing and disposition of build-to-suit biotechnology facilities, hi-tech facilities and office space in Massachusetts, New Jersey, Virginia, Maryland and several other states.°
  • Representation of underwriters and borrowers in securitized loan transactions involving all types of properties – residential, retail and commercial – throughout the United States.°
  • Representation of a real estate company in the acquisition of multiple pharmacy sites through the United States, which had been subject to securitized debt, including the defeasance of existing financing.
  • Representation of a national pension fund in obtaining a springing equity interest in the debtor, as well as additional operating income based interest and a share of the future appreciation of the value of the mortgaged assets.°
  • Representation of a national lender in acquiring and working through multiple portfolios of loans, which included immediate loan payoffs, loan restructurings, deed in lieu of foreclosure and forced sales.°
