GT Restructuring Advises ACCENTRO on StaRUG Restructuring

GT Restructuring, the restructuring unit of global law firm Greenberg Traurig in Germany, advised ACCENTRO Real Estate AG on its successful restructuring and recapitalization. Dr. Gordon Geiser, GT Restructuring partner, was appointed as ACCENTRO Real Estate AG's second board member in February 2023 and has been advising on the comprehensive and complex restructuring process since.

ACCENTRO Real Estate AG is a listed real estate company and one of the market leaders in Germany in the field of residential privatization. The company faced considerable challenges as a result of current developments in the German real estate market, caused by the interest rate turnaround and rising energy and construction costs. As part of this restructuring process, the bonds issued by ACCENTRO were restructured, the shareholder structure was changed, and the supervisory board was reappointed. In addition, fresh capital was made available through a new super senior bond.

To implement this, the company initiated restructuring proceedings under the German Corporate Stabilization and Restructuring Act (StaRUG) at the Charlottenburg Local Court. The court appointed Prof. Dr. Lucas Flöther from the law firm Flöther & Wissing as restructuring officer. A special feature of the legally binding restructuring plan is that a complete capital cut was avoided and existing shareholders continue to hold a reduced stake in the company.

As a member of the management board and chief investment officer, Geiser was not only the primary contact for the ad hoc group of bondholders, which holds a majority of the restructured bonds, but also took part in the entire process on behalf of the company and was in constant communication with the company's legal and financial advisers as well as with the advisers of the ad hoc group.
