Karol Brzoskowski focuses on real estate and commercial law. He regularly advises private equity investors, investment funds, corporates and developers on their most important transactions. His practice encompasses a wide range of real estate work involving asset, enterprise or share M&A deals related to greenfield projects, office buildings, warehouses and shopping centers. His most recent experience also involves advisory on M&A regarding acquisition of real estate developers (large groups of companies) and cross-border portfolio real estate transactions.

Experience

  • Advised global real assets investment manager CBRE Investment Management (CBREIM) throughout the year on closing in stages on some 49 premium logistics assets across Europe and the United States. In Europe, this landmark deal is one of the largest real estate transactions executed in 2022.
  • Represented Dom Development Group, one of the leading real estate developers on the Polish market, in the acquisition of 100% ownership stake in BUMA Group’s residential portfolio from Giovanni Fundusz Inwestycyjny Zamknięty, with a transaction value of PLN 209.5 million.
  • Advised Madison International Realty LLP, a global real estate private equity firm, in connection with the indirect acquisition of a majority stake in Capital Park S.A.
  • Supervised and ran due diligence of real properties in connection with the acquisition of Żabka Polska S.A. by CVC Capital Partners.
  • Supervised and ran due diligence of real properties in connection with the Polish aspects of the disposal of CEE brewing assets to Asahi Group Holdings Ltd, with an aggregate transaction value of approx. EUR 7.3 billion.
  • Advised on a logistics portfolio transaction situated in the Warsaw metropolitan area, which has been acquired by Partners Group, a leading global private markets firm, acting on behalf of its clients, and Peakside Capital Advisors. The warehouse facilities in the portfolio have a total area of almost 135,000 sq. m.
  • Advised EQT Exeter’s affiliate, the real estate division of EQT Group AB, on the acquisition of a Polish logistics portfolio consisting of selected 5 class-A warehouse projects with leasable area (GLA) of approx. 161,000 sq. m.
  • Advised REINO Capital and the Australian fund, RF CorVal, on the preliminary purchase agreements regarding the attempted acquisition of the entire BUMA Group real estate portfolio.  The value of the portfolio, which included office buildings and mixed used (office and residential) development projects, was over PLN 1.3 billion.
  • Represented Skanska Property Poland on various acquisitions of real properties in Warsaw and Wrocław designated for the investment portfolio as well as on the development of office buildings.
  • Represented Bankia Habitat (the fourth largest bank in Spain) on a EUR 42 million sale of a commercial plot in the center of Warsaw to Echo Investment S.A.°
  • Advised a leading owner and manager of shopping centers in Eastern and Central Europe on a EUR 1 billion internal restructuring and transfer of real estate across Poland.
  • Advised a leading developer in Poland on a EUR 500 million internal restructuring and transfer of real estate across Poland.
  • Advised Unibail-Rodamco in connection with the development of a EUR 220 million shopping center in Wrocław.
  • Represented PPP Venture sp. z o.o. (part of the French group Bouygues), as the project company, on the tender for and the financing of the refurbishment of Jagiellonian University Collegium Medicum student dormitories in a PPP deal. This is the first PPP project in Poland involving a public university and also the first such venture in the public building sector.°
  • Represented Tristan Capital Partners on a EUR 174 million acquisition of a real estate portfolio consisting of five shopping malls located in Gliwice, Katowice, Kraków, Wrocław and Szczecin from Charter Hall Retail REIT.°
  • Represented Globalworth in connection with the acquisition of the Podium Park office complex located in Kraków.
  • Represented Europejskie Centrum Inwestycyjne ECI S.A. on a EUR 138 million sale of New City, one of the highest quality office complexes in Warsaw, to Hines Global REIT, Inc.°
  • Represented Deka Immobilien on a EUR 94 million acquisition of Atrium 1, a green A class office building in the heart of Warsaw, from Skanska Property Poland.°
  • Represented Union Investment on the preliminary purchase and development agreement regarding the development and construction of two planned hotel properties in Katowice (Hotel Mercure) and Kraków (Hotel ibis Styles).
