Jay Cho focuses his practice on corporate and transactional matters, with an emphasis on mergers and acquisitions, joint ventures, buyouts, divestitures, private offerings of equity and debt, and general corporate representation. Jay also represents public and private companies, strategic investors, and venture-backed startups across a range of industries, including technology, health care, specialty industrials, and renewable energy.

Experience
- Earn-Out Stock Sale. Represented selling shareholders in a stock sale and an earnout.°
- Article 9 Asset Sale. Represented a sponsor-backed buyer in $18 million Article 9 equity-for-equity acquisition; negotiated purchase agreement and additional rights letter.°
- Venture Capital / Growth Equity. Managed 15+ Seed through Series C financings, drafting purchase agreements, preparing Form D and complying with state “blue sky” requirements, managing charter amendments and board authorizations.°
- Public Benefit Corp Acquisition. Represented buyer in an acquisition of a Delaware public benefit corporation; drafted and negotiated stock purchase agreement, license agreement, FIRPTA certificates, and disclosure schedules.°
- Senior Secured Syndicated Facility. Represented borrower group in connection with a senior secured syndicated credit facility.°
- Cross-Border Incremental Credit Facility. Represented European banks on an incremental term + revolver facility supporting an add-on acquisition.°
