Alison M. Gathright counsels clients on corporate and securities matters with a focus on the representation of private equity funds and their portfolio companies. She has transactional experience structuring and negotiating strategic and leveraged acquisitions of public and private targets as well as handling divestitures, joint ventures and mergers and acquisitions. In addition, Alison helps clients with equity financings, minority and venture capital investments, restructurings, executive compensation matters, corporate governance, and other general corporate matters.

  • Represented Jarden Corporation in its approximately $1.35 billion acquisition of Waddington Group, Inc., a leading manufacturer and marketer of premium disposable tableware for commercial, foodservice and retail markets.
  • Represented a semiconductor manufacturer in its acquisition of a fabless semiconductor company.
  • Represented one of the largest wine and spirits companies in its sale of a California vineyard to a Chilean wine company.°
  • Represented a health care services company in the sale of its specialty pharmacy operations to the managed care division of a national drugstore chain.°
  • Represented a California-based public technology company in its merger with a public technology company focused on electronic hardware and software design solutions.°
  • Represented private equity funds in connection with the acquisition of numerous consumer products companies.
  • Represented a private equity firm in its acquisition of several software and technology-enabled businesses.°
  • Represented a leading middle-market private equity firm in its acquisition of a majority interest in a manufacturer of premium air filtration products for the automotive industry.°
  • Represented a private equity firm in acquisition of two United Kingdom-based manufacturers and marketers of high-quality and complete dog and cat food and treats.°
