Hongzhen’s practice focuses on complex cross-border corporate transactions, including mergers and acquisitions, joint ventures, exits, and equity investments in the energy and infrastructure space.  She regularly represents public and private companies, international and regional private equity sponsors and other investors across various industries, including energy, infrastructure, TMT, healthcare, industrials, and consumer goods.

Prior to joining Greenberg Traurig, Hongzhen worked for another international law firm in New York and Hong Kong and was also seconded to work as in-house counsel in Shanghai in 2017-2018.

  • Represented Baring Private Equity Asia (now EQT Private Capital Asia) in its sale of HCP Packaging, a global leader in the design, development, and manufacture of cosmetics packaging operating in Asia, Europe and the Americas, to Carlyle.°
  • Represented TPG Capital Asia, TPG Growth, and Ontario Teachers’ Pension Plan in their acquisition of up to a 35% stake in Dream Cruises, a luxury Asian passenger cruise line, for a purchase price of US$489 million, representing a total enterprise value of US$3.3 billion, from Genting Hong Kong Limited, the largest cruise operator in the Asia Pacific region.°
  • Represented TPG Capital Asia, TPG Growth, and Ontario Teachers’ Pension Plan in the multijurisdictional restructuring of Dream Cruises and its parent company Genting Hong Kong Limited, involving US$2.6 billion in debt and US$700 million in new equity.°
  • Represented Advent International in its acquisition of a controlling stake in BioDuro LLC, a global life sciences contract research and development organization (CRO) with operations in the U.S. and China.°
  • Represented Alibaba Group
    • in its minority investment in Bilibili Inc., a leading online entertainment company in China° and
    • in connection with its acquisition of Daraz, an online marketplace operating in South Asia, from Rocket Internet, the German internet incubator.°
  • Represented Dow Chemical Company
    • in its preparation for Dow Inc.’s separation and spin-off from DowDuPont° and
    • in the reorganization and integration of Dow Corning.°
  • Represented American Securities in its acquisition of Chromaflo Technologies Corporation, a leading producer of colorants and chemical dispersions operating in the Americas, Europe, Asia, Oceania and Africa.°
  • Represented General Electric Company in its US$2.6 billion sale of GE Industrial Solutions to ABB.°
  • Represented the special committee of the board of directors of a U.S.-listed solar power company in connection with its evaluation of certain strategic alternatives.°
  • Represented a global private equity investor’s growth equity fund
    • in its investment in and subsequent sale of Asian music catalogues° and
    • in its establishment of a music joint venture with the U.S. and Asian joint venture partners.°
  • Represented an international company in a potential minority investment in a Southeast Asia technology company.°
  • Represented a global private equity fund in its potential acquisition of the mainland China business of a leading consumer product company.°
  • Represented a French industrial group in its potential disposal of a business division.°
