Tara McMillen advises companies on intellectual property and technology-driven transactions across a broad range of industries, including life sciences, medical devices and pharmaceuticals, software and technology, manufacturing, and financial services. She has deep experience advising on inbound and outbound procurement matters across cloud and software, technology services, and hardware, helping clients structure and negotiate complex commercial arrangements.
Tara prepares and negotiates commercial and technology agreements, SaaS and open-source software licenses, intellectual property assignments, joint venture and sublicense arrangements, and agreements for commercial manufacturing and distribution, research and development, and collaborations. She also provides product counseling and AI development and deployment support.
On strategic acquisitions, investments, and mergers, Tara provides intellectual property counseling and leads due diligence. Tara’s background includes serving as a corporate attorney for a nonprofit foundation, where she managed contracting processes and advised on policy and nonprofit regulatory compliance.

Experience
- Represented a semiconductor and infrastructure software products provider on the sale of its End-User Computing Division to a global investment firm for US$4 billion.°
- Led intellectual property due diligence and negotiations for an advanced magnetic sensor technology company in its US$420 million acquisition by a global semiconductor technology designer and manufacturer.°
- Drafted and negotiated a license and research collaboration agreement for the commercialization of nonviral gene therapy products in certain fields and exclusive option rights to expand the license fields.°
- Advised on the global expansion of an optical business, including the acquisition of an optical retailer with more than 140 locations in the Upper Midwest.°
- Drafted and negotiated agreements for the commercial manufacturing and international distribution of CGM devices.°
- Provided intellectual property counseling to a global clothing company in connection with strategic partnerships, licensing, and a take-private transaction.°
