Nate represents clients in M&A and securities litigation in state, federal, and international forums across various industries. He also handles internal and regulatory investigations and civil enforcement actions, including matters before the Securities and Exchange Commission and the Financial Industry Regulatory Authority (FINRA). Nate manages all stages of civil litigation from initial service through settlement or adjudicated resolutions such as motions to dismiss, motions for summary judgment, or trial and appeal.
His work includes representing clients in Delaware Court of Chancery matters, federal securities class actions and derivative suits in various federal district courts, and international proceedings such as those in the Grand Court of the Cayman Islands and international arbitration forums such as the Singapore International Arbitration Centre and the Swiss Arbitration Association.
Nate maintains an active pro bono practice and was honored by Sanctuary for Families at its annual Above & Beyond Awards in 2023 for his work on behalf of a client.
Concentrations
- M&A litigation, including domestic and international acquirer and target side breach of fiduciary duty litigation, appraisal litigation, and breach of contract litigation, including busted merger/material adverse effect litigation. Breach of fiduciary duty litigation related to routine and extraordinary corporate actions and transactions under both the business judgment and entire fairness standards of review across various US states, principally Delaware.
- Federal securities and derivative litigation arising under the Securities Act of 1933 and the Securities Exchange Act of 1934.
- Internal investigations and defense of regulatory investigations and enforcement actions including before FINRA and the SEC.

Experience
- Represented FGL Holdings in stockholder appraisal action in the Grand Court of the Cayman Islands resulting from Fidelity National Financial Inc.’s $2.7 billion acquisition of FGL Holdings. Following a three-week trial the court concluded that “the Transaction Price of US $11.06 … is the best central indictor of fair value and should be given full weight.”°
- Represented Brookfield in stockholder litigation relating to its $9 billion acquisition of GGP, Inc. in the Delaware Court of Chancery.°
- Represented special committee of the board of directors of a healthcare company in connection with $2.5 billion take-private by controlling private equity shareholder in the Delaware Court of Chancery.
- Represented Fortune 500 company and its directors and officers in stockholder derivative litigation in New York state court.°
- Represented Hong Kong-based Ocean Link, a member of a consortium of buyers that took 58.com private in an $8.7 billion deal, and its executives in connection with pre-trial discovery under 28 U.S.C. § 1782.°
- Represented AMC, the largest movie theater operator in the world, in earnings miss securities class actions and related shareholder derivative litigation in the Southern District of New York.°
- Represented Willis and certain of its officers and directors in connection with federal securities and Delaware fiduciary duty litigation relating to Willis’ “merger of equals” with Towers Watson.°
- Represented major international investment bank in multibillion-dollar Swiss arbitration arising out of the acquisition of a Swiss bank, which was determined, post-closing, to be a conduit for frauds perpetrated by individuals associated with the sovereign wealth fund 1MDB, resulting in a post-arbitration settlement of $270 million for that client.°
