Caroline A. Pricher is a transactional real estate attorney with more than 20 years of experience representing institutional investors, REITs, private equity sponsors, developers, and owner-operators across the full commercial real estate lifecycle. Her practice covers acquisitions, dispositions, mixed-use development, industrial redevelopment, hospitality, data centers, and utility-scale solar. She also handles joint venture structuring, real estate debt, construction financing, and deal-level governance. Caroline represents clients in the hotel and leisure sector, advising owners and managers of hospitality projects, luxury hotels, resorts, condo-hotels, golf courses, and resort communities. Her work spans both law firm practice and executive in-house roles, giving her a perspective that combines transactional rigor with business-side judgment.

Caroline represents clients in connection with the acquisition, entitlement, development, financing, management, and operation of real estate projects, with a particular focus on hospitality and mixed-use developments. She handles economic development incentives and public-private partnerships, infrastructure planning and finance, hotel management and operations, spa and golf management agreements, food and beverage consulting agreements, and CC&Rs. She also represents developers of master planned communities in the negotiation of incentive packages, including sales tax reimbursements and infrastructure finance. On the hospitality side, Caroline advises on transaction structure, franchise agreements, branding, governance, rental programs, and restructuring.

Caroline also serves as outside general counsel for select clients, providing legal oversight across corporate, real estate, and transactional matters. She leads legal strategy for joint venture industrial redevelopment initiatives, including logistics centers, distribution facilities, and data center development on former industrial sites, advising on entitlement risk, deal structure, and transaction execution. She counsels early-stage AI companies on capital structure, licensing agreements, and governance throughout various stages of growth.

Caroline’s in-house experience has directly shaped her approach to client service. As VP and real estate counsel for a services company, she advised the executive team on acquisitions, development, leasing, and financing across multiple asset classes, handling matters from letter of intent through closing. She negotiated and drafted purchase and sale agreements, development ground leases, financing documents, and management agreements. She led project due diligence covering title, survey, zoning, environmental, and permit reviews, and she managed cross-functional teams while coordinating with lenders, brokers, municipalities, and outside counsel. Earlier in her career, she served as in-house legal counsel for a multinational investment and development group, where she managed the acquisition of more than 35,000 acres and 5,100 lots across the United States.
