Caroline A. Pricher focuses her practice on the representation of clients in connection with the acquisition, entitlement, development, financing, management, and operation of real estate developments. Caroline has particular experience in the hotel and leisure sector, advising owners and managers of hospitality projects, luxury hotels, resorts, mixed-use projects, condo-hotels, golf courses, and resort communities regarding transaction structure, economic incentives, financing, and project management, including rental programs, franchise agreements, branding, governance issues, and restructuring.

  • Represented owners and lenders in connection with hotel project financings, restructuring, and joint ventures.
  • Represented prospective purchasers of senior and mezzanine debt in connection with a dual branded hotel project.
  • Represented a private investment firm in the $250M+ acquisition and rebranding of a newly-constructed hotel.°
  • Represented international luxury hotel brand in the negotiation of amendments to comprehensive management and operational agreements within a mixed-use development.°
  • Represented international luxury hotel brand in the negotiation of national and international acquisition and management agreements.°
  • Represented a Family Office in the negotiation of an entity buyout and restructuring.°
  • Representation of private equity and REITS in acquisition and disposition of portfolios and assets.
  • Representation of developers in connection with Arizona State Trust Land Leases.
  • Represented solar companies in site selection, entitlements and economic incentive packages.
  • Managed the acquisition of all real estate in the United States for a multinational investment and development group, closing on more than 35,000 acres and 5,100 lots.°
  • Developed, implemented, and managed acquisition strategy logistics and protocols for hedge fund joint venture investments, including a $200M+ vacant lot portfolio.°
  • Represented developers of master planned and mixed-use projects in the negotiation and documentation of economic incentives packages including sales tax reimbursements and infrastructure finance.
  • Represented owners and lessees in an urban redevelopment project, including negotiation of amendments to the incentive package and implementation of a vertical condominium regime in an office building converted to a corporate headquarters and hotel.
