Sana Siddiqui focuses her practice on debt capital markets transactions. She has more than 10 years of experience advising on a range of conventional and Islamic capital markets transactions, including programmes, regulatory capital (Basel III), high yield, ESG, hybrid and liability management transactions in the Middle East and Europe. She represents financial institutions, large corporates and government-related entities. Sana handles various debt capital markets transactions under both Regulation S and Rule 144A formats, working closely with issuers, banks and Shari’ah scholars to advance sukuk structures and refine Islamic financing techniques.

  • A syndicate of international and GCC banks (including SCB, Citibank, First Abu Dhabi Bank, Dubai Islamic Bank and Emirates NBD) on a US$600 million drawdown under Omniyat’s US$2 billion sukuk issuance programme. The transaction signed on 2 March 2026, in challenging market conditions immediately after the outbreak of the recent US-Iran war in the Middle East.
  • Representing a number of international and local banks (including HSBC, FAB, ADIB, DIB and ENBD) in respect of Binghatti Holding Limited’s inaugural standalone sukuk issuance, a tap issue, the establishment of its US$1.5 billion sukuk programme and a US$500 million drawdown issuance under the newly established programme.
  • The local and international banks on Sobha Realty’s US$300 million inaugural sukuk issuance, tap issuance of US$230 million sukuk, the establishment and update of its US$1.5 billion sukuk programme, a US$500 million drawdown thereunder and a US$750 million green sukuk drawdown thereunder, each listed on the International Securities Market in London and Nasdaq Dubai.
  • The international and local Joint Lead Managers (including HSBC, Standard Chartered Bank, Goldman Sachs, Citibank, JP Morgan, Emirates NBD and First Abu Dhabi Bank) on Majid Al Futtaim’s (MAF) US$2 billion trust certificate issuance programme and its US$3 billion bond programme and multiple issuances thereunder, including its US$600 green sukuk issuance. Also advised the banks on MAF’s US$500 million corporate hybrid bond issuance, and a tender offer in respect of its previously issued hybrid bonds.
  • The international and local banks (including SCB, HSBC, Dubai Islamic Bank, First Abu Dhabi Bank, Mizuho Bank and Abu Dhabi Islamic Bank) on Kuwait Finance House’s US$4 billion trust certificate issuance programme, its US$1 billion issuance thereunder and its US$850 million Tier 1 Capital Certificates.
  • The international and local Joint Lead Managers on the update of Kuwait International Bank’s US$1.5 billion trust certificate issuance programme and a drawdown of Basel III-compliant Tier 2 trust certificates in the principal amount of US$300 million.
  • Bank of Sharjah on multiple updates of its US$2.5 billion Euro Medium Term Note Programme and several issuances thereunder.
  • First Abu Dhabi Bank on English and UAE law on the annual updates of its US$5 billion trust certificate issuance programme and its US$20 billion bond programme and advising on drawdowns thereunder. The programmes are listed on the main market on the London Stock Exchange.°
  • Advised the Islamic Development Bank (IsDB) on 45 sukuk issuances from 2015 to 2025, under its US$25 billion trust certificate issuance programme. This included the largest sustainable sukuk issuance globally (US$2.5 billion), another sustainable sukuk issuance of US$1.5 billion, which was the first sukuk issuance globally to tackle the effects of the Covid-19 pandemic, and a green sukuk issuance of €1 billion, which was the first green sukuk in the world to be issued by a AAA-rated institution and also the first EUR-denominated green sukuk globally.°
  • Advised Kuwait’s Ahli United Bank K.S.C.P. (AUBK) on the issuance of US$600 million Tier 1 capital certificates.°
