Mizuho Yamada is a Japanese-licensed lawyer (Bengoshi) focusing his practice on real estate, non-performing loans, structured finance, fund formations, corporate, joint ventures and merger and acquisitions. He has wide-ranging experience advising international and domestic investors and investment fund managers on deals involving all classes of real property, including hotels, logistics and data-centers in Japan. His practice also includes representing financial institutions as lenders in complex real estate finance deals.

  • Represented a data center focused U.S. REIT in its formation of joint venture with a Japanese major trading company for investment in data centers in Japan and such joint venture on various aspects of investment in and development of data centers including financing, construction and leasing°;
  • Represented ESR in its acquisition of an Osaka data center asset as part of a planned US$2.15 billion project of data center development°;
  • Represented an international PE fund in its first real estate investment in Japan and its subsequent real estate investments in Japan°;
  • Represented a Singaporean REIT in its acquisition of a portfolio of nursing homes in Osaka Japan°;
  • Represented an international PE fund in its proposal to acquire Godiva’s Belgium factory, Japan business and various assets across Asia°;
  • Represented an international PE fund in its proposal to acquire a portfolio of data centers from a Japanese IT company°;
  • Represented an international financial institution on its leasing of data center from a data center operator in Japan°;
  • Represented Japanese mega banks in connection with financing for development of a hyperscale data center in Osaka Japan°;
  • Represented a sovereign wealth fund on its acquisition and financing of a portfolio of commercial properties in Japan, as its first investment and first real estate investment in Japan°;
  • Represented an international PE fund on its development and leasing of hyperscale data center in Japan°;
  • Represented a Japan-based real estate company in connection with its acquisition of commercial properties in the U.S.°;
  • Represented Sumitomo Mitsui Banking Corporation as mandated lead arranger in connection with the financing for the acquisition of Showa Aircraft Industry Co., Ltd. by Bain Capital through a take-over-bid process in Japan°;
  • Represented a Japan-based real estate company in its joint venture with a Hong Kong investment company for a development project of an outlet shopping center in China°;
  • Represented various real estate investment fund managers on real estate fund formations and acquisitions of various classes of assets.°
