Greenberg Traurig Advised Venture Fundusz Inwestycyjny Zamknięty in Relation to its first Series A Investment in a Delaware Corporation

WARSAW – Nov. 8, 2016 - Greenberg Traurig’s Warsaw office advised Venture Fundusz Inwestycyjny Zamknięty, managed by TFI Trigon S.A., in connection with the acquisition of a non-controlling stake in Seed Labs Inc., a U.S.-based corporation involved in the development of an end-to-end smart lighting platform using new transmission protocols.

The investment-comprised acquisition of newly issued Series A Preferred Shares of the Common Stock and certain outstanding convertible notes converted into Series A Preferred Shares of the Common Stock at the closing of the initial equity investment.

The Greenberg Traurig multinational team was led by Rafał Sieński, partner in the Warsaw office, and David Gitlin, partner in the Philadelphia office, supported by Mateusz Zaleński, associate in the Warsaw office.

Stephen Horvath, partner in the London office, advised on the structural issues related to the Transaction and Kelly A. Terribile, partner in the Delaware office, supported by Associate Justin Mann, advised on Delaware corporate law aspects of the Transaction. Of Counsel Godric Shoesmith from the London office advised with respect to certain issues related to U.S. securities laws. Michał Fereniec, partner in the Warsaw office, supervised the legal due diligence review of Seed Labs sp. z o.o. with its registered office in Kraków, Poland, a key subsidiary of operations of Seed Labs Inc.
