Godric C. Shoesmith is based in New York and practices primarily in corporate finance with a focus on international capital markets, including the representation of underwriters, arrangers, initial purchasers, issuers and sponsors in connection with public offerings and private placements of debt and equity securities both into and outside of the United States. He has wide-ranging experience in acquisition and leveraged finance transactions, and with cross-border and other complex securities offerings. He also represents companies in connection with liability management, capital structure reorganisations, securities law compliance and disclosure matters.

  • Advised Atlas Mara Co-Nvest Limited in connection with its acquisition of BancABC, a leading multi-country, multi-service bank with operations across the Southern African Development Community which is listed on the Botswana stock exchange, with a secondary listing on the Zimbabwe stock exchange.
  • Represented Cyfrowy Polsat S.A. in relation to the acquisition of Metelem Holding Company Limited and the PLN 3 billion refinancing of its existing facilities and bonds.
  • Represented, Deutsche Bank and Numis Securities, the joint sponsors and the underwriters of the £490 million IPO of Polypipe Group plc on the main market of the London Stock Exchange.
  • Represented Probiodrug AG in connection with Probiodrug’s offering of shares to the public in the Netherlands and to qualified institutional investors in Europe and the United States.
  • Represented a US home building company in connection with its offering of $200 million Senior Notes due 2022.
  • Represented an Italian pharmaceuticals company in connection with a private placement of notes listed on the Luxembourg Stock Exchange.
  • Represented JPMorgan, Lehman Brothers and ING in connection with the offering by Central European Media Enterprises Ltd. of its €150 million Senior Floating Rate Notes due 2014.°
  • Represented Deutsche Bank in connection with the offering by Corral Finans AB of its €355 million Floating Rate Split Coupon Notes due 2010 and its $350 million Floating Rate Split Coupon Notes due 2010.°
  • Represented JPMorgan, Deutsche Bank and Citigroup in connection with the offering by Stena AB of its €300 million 6.125% Senior Notes due 2017.°
  • Represented Deutsche Bank in connection with the offering by Lecta S.A. of its €598 million Senior Secured Floating Rate Notes due 2014 and its $150 million Senior Unsecured Floating Rate Notes due 2014.°
  • Represented Blackstone Group International Limited and Gerresheimer Holdings GmbH in connection with Gerresheimer Holdings GmbH’s offering of its €150 million 7.875% Senior Notes due 2015.°
  • Represented JPMorgan in connection with the offering by Almatis Investment Holding S.a r.l. of its $100 million 11% PIK Notes due 2013.°
  • Represented Kohlberg Kravis Roberts and MTU Aero Engines Investment GmbH with respect to MTU’s initial public offering of 31 million Ordinary Shares.°
  • Represented JPMorgan in connection with TVN SA’s initial public offering of 15,912,202 Ordinary Shares.°
  • Represented JPMorgan, Deutsche Bank, Goldman Sachs International and The Royal Bank of Scotland in connection with the registered public offering by NTL Cable PLC of its $550 million 9.125% Senior Notes due 2016.°
  • Represented Wm Morrison Supermarkets Plc in connection with the establishment of its £3 billion Euro Medium Term Note Programme.°
