Who Gets The Money In M&A Deals?”, which analyzes the Feb. 20, 2026 U.S. Supreme Court (SCOTUS) decision invalidating tariffs imposed under the International Emergency Economic Powers Act (IEEPA).
The article highlights that the court’s ruling may result in billions of dollars in tariff refunds for importers who previously paid tariffs issued under IEEPA, though the attorneys note that the refund process has not yet been announced and may take months to clarify.
The article cites Rabinowitz, Achi, and Ekeberg’s GT Alert which noted, before the SCOTUS decision, that because of the potential sizes of IEEPA-tariff refunds, M&A parties may wish to go beyond the typical construct in purchase agreements on entitlement to tax refunds and negotiate more specific provisions, thereby eliminating any potential uncertainty about entitlements and obligations relating to such refunds.
