Ken focuses his practice on a variety of real estate matters including acquisitions, dispositions, financings, and joint ventures. He has experience drafting purchase and sale agreements, drafting loan documents, and conducting due diligence on borrowers and collateral. He also has experience with corporate matters, particularly forming entities and drafting corporate governance documents.

  • Represented real estate company in acquiring and financing of a portfolio of over 40 industrial properties valued at over $200,000,000.
  • Represented hospitality company in the financing, which included both mortgage and mezzanine financing, of a portfolio of over 40 hotels in various jurisdictions.
  • Represented a publicly traded investment company in Freddie Mac approvals process related to the acquisition of upper tier membership interests in a portfolio of affordable housing assets.
  • Represented a bank in a loan transaction related to the acquisition and financing of a transitional housing project in New York City.
  • Represented a private equity firm in multiple acquisitions, joint ventures, and sales of multi-family housing assets.
  • Represented a bank in a loan transaction related to the re-financing of an assisted living facility in Florida.
  • Represented seller in the sale of a multifamily housing project in Virginia.
  • Assisted owners of a group of fast food and casual dining restaurants in the refinancing of the existing mortgages and eventual sale of the entire portfolio of restaurants for over $10 million.°
  • Assisted in the sale of a famous local restaurant worth more than $7 million in the New Jersey area.°
  • Assisted in the sale of a healthcare facility worth more than $15 million in the New Jersey area.°
  • Assisted a national bank with several financing transactions, collectively over $25 million, using commercial properties as collateral °
  • Assisted in drafting numerous leases for a landlord of a commercial property in the New Jersey area.°
  • Conducted due diligence for title matters involving a national real estate developer.°
  • Assisted owners of a large marketing agency in a stock sale worth more than $15 million to a middle market private equity firm with over $200 million of assets under management.°
