  • Representation of a syndicate of banks in a $11,000 million Pesos refinancing credit facility granted to an international pharmaceutical company secured by real estate properties and trademarks.
  • Representation of Concentradora Hipotecaria (FHipo), manager of the first Mexican mortgage real estate investment trust, in a mortgage loan securitization for a total amount of $3,362.8 million Pesos. This is the first securitization of its kind, including in a single issuing trust mortgage loans portfolios of the largest mortgages originators in Mexico, INFONAVIT (the National Workers’ Housing Institute Fund) and FOVISSSTE (Housing Fund of the Institute of Social Security and Social Services for State Employees).
  • Representation of BBVA Bancomer, S.A., Institución de Banca Múltiple, Grupo Financiero BBVA Bancomer, Banco del Bajío, S.A., Institución de Banca Múltiple, Banco Monex, S.A., Institución de Banca Múltiple, Monex Grupo Financiero, and Banco Regional de Monterrey, S.A., Institución de Banca Múltiple, Banregio Grupo Financiero in a MXN$1.1 billion pesos syndicated loan facility to a leading real estate developer company in Mexico.
  • Representation of Banco Santander (México), S.A., Institución de Banca Múltiple, Grupo Financiero Santander in a MXN$2 billion pesos warehousing line of finance granted to the Mortgage Trust “FHipo” -the first mortgage real estate investment trust in Mexico specialized in the acquisition, origination and management of mortgage loans portfolios-, for the acquisition and origination of mortgage loans portfolios.
  • Representation of an institutional investor in the negotiation of a secured loan used to finance the construction of two industrial properties in Ciudad Acuña, Coahuila.
  • Representation of the administrative agent and the lender banks in a MXN$1,094 million syndicated secured term loan in favor of a Mexican pharmaceutical company.
  • Representation of a Mexican bank in a MXN$100 million loan in favor of a Mexican commercial property owner and developer secured by an industrial mortgage over two shopping centers, a pledge over the shopping centers proceeds that will be managed by a trust and a pledge over the owner’s capital stock.
  • Representation of a Mexican non-bank bank SOFOM (Sociedad Financiera de Objeto Múltiple), in a bilateral secured loan facility to a leading limited-service hotel chain in Mexico for the construction of a hotel in Playa del Carmen, Quintana Roo, Mexico.
  • Representation of Instituto del Fondo Nacional de la Vivienda para los Trabajadores (INFONAVIT, the Mexican national housing agency) and Concentradora Hipotecaria (FHipo), manager of the first Mexican mortgage real estate investment trust, in a joint mortgage loan securitization for a total amount of 4,230 million pesos.
  • Participated as counsel to a syndicate of banks in the financing for the construction of a toll road.°
  • Participated as counsel to a syndicate of banks and BBVA Bancomer, as administrative agent, in the financing granted to Alsea, S.A.B. de C.V., for the acquisition of Food Service Project, S.L., a company which directly and through its subsidiaries operates in Spain the chains of restaurants "Foster’s Hollywood," "Domino’s Pizza," "Burger King," "La Vaca Argentina," "Cañas y Tapas" and "Il Tempietto."°
  • Participated as counsel to a syndicate of banks and Banco Nacional de México (Banamex), as administrative and collateral agent, in the $8.2 billion Pesos (approximately $630 million) financing granted to Alsea, S.A.B. de C.V., for the acquisition of the restaurant chains Vips, El Portón, Ragazzi and La Finca.°
  • Participated as counsel to Merrill Lynch Pierce Fenner & Smith Inc. in a $125 million bridge loan to Aeroinvest, S.A. de C.V.°
  • Participated as counsel to Banco Santander (México) and Banco Nacional de México (Banamex) in connection with a syndicated loan facility to a leading steel manufacturer in Mexico in the amount of $120 million for the construction and equipment of a new mill.°
  • Participated in several securitizations of different types of assets, including mortgage loans, bridge loans, receivables and dividends.°
  • Representation of Evercore, Banorte and BTG as joint bookrunners in the RLH Properties, S.A.B. de C.V. initial public offering. RLH is the first small cap company to go public as SAB, listing approximately 86 million shares equivalent to more than 30% of its capital stock.
  • Representation of ION Financiera, S.A.P.I. de C.V., SOFOM, E.R. in the establishment of a Mexican commercial paper program for a total amount of MXN$200 million and their first debt issuance in the Mexican Stock Exchange.
  • Representation of the several underwriters in the purchase of €850,000,000 1.500% Senior Notes due 2024 and €650,000,000 2.125% Senior Notes due 2028 offering by América Móvil, S.A.B. de C.V.
  • Participated as counsel to Morgan Stanley, Citigroup, Bank of America Merrill Lynch, Acciones y Valores Banamex (Accival) and Actinver, as underwriters, in connection with the initial public offering and a follow on by Hoteles City Express, S.A.B. de C.V. of 71,000,000 shares in the Mexican stock exchange and other international markets.°
  • Participated as counsel to Bank of America Merrill Lynch, BBVA Bancomer and Santander, as underwriters, in connection with the international secondary public offering of 60 million shares of Grupo Aeroportuario del Centro Norte, S.A.B. de C.V. by Aeroinvest, S.A. de C.V.°
  • Participated as counsel to Citigroup Global Markets Inc., Banca IMI S.p.A., BBVA Securities Inc., Mitsubishi UFJ Securities (USA), Inc. and Mizuho Securities USA Inc., as underwriters, in connection with the issuance by América Móvil, S.A.B. de C.V. of US $750 million Floating Rate Senior Notes due 2016.°
  • Participated as counsel to the lead institutional investors in 15 publicly listed fund (CKD) transactions.°
  • Participated in one publicly listed fund (CKD) transaction as counsel to the sponsor and in another transaction as counsel to the underwriter.°
  • Participated as counsel to Goldman Sachs & Co. in connection with the issuance by Grupo Atento of US $300 million Senior Secured Notes due 2020.°
  • Represented underwriters in connection with initial public offering of Volaris.°
