Brandon Roos has broad experience in the hospitality and entertainment industry, having served as general counsel for Hakkasan Group and senior vice president of legal and business affairs for TAO Group, where he managed legal matters involving a portfolio of more than 60 restaurant, nightlife, and lounge venues worldwide. He regularly handled hospitality management agreement and lease negotiations, licensing agreements, franchise deals, international transactions, acquisitions, commercial litigation, insurance, risk management, and intellectual property matters.

Brandon focuses his practice on corporate transactional matters as part of the firm’s corporate team. He represents clients in corporate governance and compliance, mergers and acquisitions, private equity and venture capital investments, and securities offerings for public and private companies. With prior experience both as a litigator and as in-house counsel, as well as significant experience handling insurance and risk management, Brandon brings broad knowledge base to transactions. This experience allows Brandon to understand and communicate risk at all deal stages.

  • Negotiated and documented the sale of company’s majority ownership interest in a portfolio of successful restaurant and nightlife venues located in Los Angeles, California.°
  • Negotiated and prepared form of artist engagement agreement with various Big 6 talent agencies and artist management teams, which formed company’s baseline agreement for nightlife and daylife talent residencies.°
  • Led numerous RFP and selection processes for the annual purchase of global insurance programs on behalf of company with global risk portfolio, including the successful procurement of special time element cancellation coverage.°
  • Negotiated and documented the sale of portfolio of managed and licensed restaurants and lounges to an international gaming and hospitality company.°
  • Negotiated and documented management agreements, master franchise agreements and license agreements for the development and operation of restaurants located in the Kingdom of Saudi Arabia, Turkey, United Arab Emirates, Qatar and Mexico.°
  • Negotiated and documented numerous management agreements and license agreements on behalf of company for venues located in properties owned by two of the largest international gaming and hospitality companies.°
  • Negotiated and assisted with the sale of company’s China subsidiary and associated license rights for the operation of a restaurant in Shanghai, China.°
  • Assisted in the preparation and implementation of company’s anti-money laundering, FCPA and UK Bribery Act policies. Directed company’s diligence and compliance with FCPA and UK Bribery Act.°
  • Provided advice and assistance on governance matters for Board of Directors of international hospitality company.°
