  • Represented a private equity fund in its stock acquisition (including financing) of a leading healthcare staffing company.
  • Counsel for Platform Specialty Products Corporation (NYSE:PAH) in $1.8 billion acquisition of MacDermid, Incorporated, a global producer of high technology specialty chemical products.
  • Counsel for Azteca Acquisition Corporation (NASDAQ:HMTV) in $415 million merger with Hemisphere Media Group, Inc., InterMedia Espanól Holdings, LLC and Cine Latino, Inc., the leading broadcast television network and content producer in Puerto Rico and a Spanish-language cable television network.
  • Counsel for Justice Holdings Limited (NYSE:BKH), a special purpose acquisition company, in £900 million ($1.5 billion) initial public offering of ordinary shares and $8.1 billion merger with Burger King Worldwide Holdings, Inc.
  • Represented Jarden Corporation in its approximately $1.8 billion acquisition of Yankee Candle Company, the leading scented-candle maker which owns and operates more than 560 retail stores in the United States and Canada, and sells its products in over 35,000 retail locations.
  • Represented private equity funds in investment, acquisition and divestiture transactions.
  • Represented public and private companies (including leading industry consolidators) in mergers, acquisitions, securities offerings and joint venture transactions.
  • Represented private companies, from entrepreneurial family businesses and start-up companies to industry leaders, in general corporate matters.
  • Corporate finance experience, including venture capital, private placement transactions and secured and subordinated financing transactions.
  • Represented Spanish bank in $159.5 million acquisition of Miami-based regional bank.°
  • Represented private equity group in public-private partnership to construct, redevelop and operate 27 highway service plazas in Connecticut.°
  • Represented concessionaire in securing $149 million financing for construction and operation of toll road in the Dominican Republic.°
