Joanne Chua serves as an adviser to startup companies across all growth stages, from formation to pre-seed through late-stage funding, secondary sales, and tender offers. She provides strategic counsel to both entrepreneurs and investors, including angel investors, venture capital firms and corporate venture arms, to identify, evaluate, and advance innovative business opportunities. For companies, Joanne’s practice includes day-to-day counseling and corporate governance matters, including board and shareholder governance, cap table management, equity compensation matters, employment matters, lifecycle management, and regulatory compliance. In corporate transactions, Joanne handles general corporate and technology and IP due diligence.
Joanne also drafts and negotiates on intellectual property and technology-driven transactions, including, but not limited to, commercial agreements, technology licenses, influencer agreements, service agreements, and collaboration and sublicense arrangements.
