Nate Hurlbut is a shareholder of Greenberg Traurig’s Salt Lake City office and a member of the Corporate and Mergers & Acquisitions Practices. He has deep experience managing private mergers and acquisitions and other corporate transactions and takes pride in delivering the highest level of service to his clients. He enjoys leading both buyers and sellers through the entire transaction process, drawing on his experience to offer unique perspectives and practical strategies to approach even the most challenging deal issues. Nate manages the drafting and negotiating letters of intent, stock or asset purchase agreements, merger agreements, earnouts, indemnities and all other key transactions documents.

Nate acts as a strategic advisor to his clients regarding both legal and business issues. He serves as outside general counsel to several corporate clients and regularly advises companies and investors regarding formation and structuring of new businesses, private equity and debt financings, recapitalizations, corporate governance, regulatory matters, executive compensation, and complex commercial relationships.

  • Represented Rubixis, Inc., a provider of health care revenue cycle management services, in a merger transaction with a subsidiary of TransUnion Healthcare, Inc.°
  • Represented Savage Services Corporation, a global supply chain company in the contribution of a logistics business to a joint venture.°
  • Represented Sound Concepts, Inc. in a merger with Verb Technology Company, Inc.°
  • Represented Apex EDI Inc., a provider of electronic data interchangeable services in the health care sector, in a stock sale to Theranest, Inc.°
  • Represented Avalanche Cloud Corporation (d.b.a. Hydrant ID), a provider of electronic security certificates, in a merger with HID Global Corporation, an affiliate of Assa Abloy AB.°
  • Represented ePac Holdings, LLC, a disruptive provider of digitally printed flexible packaging, in connection with various capitalization and financing transactions, commercial agreements, and the establishment of approximately twenty operating affiliates in North America, Europe, and Asia.°
  • Represented Tamarak Capital in connection with its investment in various portfolio companies, including Spire Ranges, Clear Home, Eco Pallet, and Momni, Inc.°
  • Represented Habi Partners, Inc., a provider of residential down-payment financing, in connection with organizational matters and a Series Seed round of financing.°
  • Represented Impartner, Inc. in a Series B round of venture financing.°
