Josh Prywes focuses his practice on federal, international, multistate, and local tax planning and implementation for both U.S. and foreign companies. Josh has advised a variety of businesses on the tax implications of inbound and outbound transactions. He regularly structures and negotiates complex partnerships and corporations throughout the United States and has experience advising clients on the tax implications of real estate transactions and corporate mergers and acquisitions.

  • Conducted tax planning and structuring on acquisitions of U.S. and foreign business by private equity clients.
  • Conducted tax planning on inbound investments and acquisitions of U.S. real estate including advising on financing, structuring, and tax reporting.
  • Negotiated and drafted company and LLC agreements for U.S. and foreign partners and shareholders including drafting of waterfall provisions, profits interests, management agreements and incentive plans.
  • Wrote tax opinions regarding securitization offerings.
  • Advised REITs on tax due diligence and structuring considerations of acquisitions of U.S. real estate projects.
